Friendly Societies' Conference. In accordance with the recommendations of the Petitions Committee of the House last session delegates from the different orders were invited by the Minister (the Hon. J. A. Hanan) to meet the Government and discuss the relations between the societies and the National Provident, Fund. The Conference met at Parliament Buildings, Wellington, on the 13th April, 1916, at which the Hon. J. A. Hanan (Minister in Charge of the Friendly Societies Department) presiding, the Hon. Arthur M. Myers (Minister in Charge of the National Provident Fund), Mr. R. E. Hayes (Registrar of Friendly Societies and Superintendent of National Provident Fund), and Mr. A. T. After welcoming the delegates and delivering addresses explanatory of the Government's policy on the questions under discussion, the Ministers invited delegates to consider proposals for the adoption of an annuity scheme for members of societies, at rates representing contributions equal to one-half of the amounts set out in the National Provident Fund Act, 1910. After considerable discussion in committee with, tho Department's officers, tho delegates reported to the Ministers that, while appreciating the offer, the proposals did not ensure to the societies the immediate help they desired, and they eventually carried the following resolution unanimously : " Believing that the offer of a Government-subsidized superannuation proposal by the Minister is an earnest endeavour to grant a measure of relief to friendly societies, this meeting accepts such proposal on an optional basis, relying on the statement made by the Hon. Mi.-. Myers that the representations of this meeting whereby immediate relief is strongly urged for friendly societies (more particularly in the form of maternity benefits) shall be taken into consideration by the Hon, Mr. Myers in conjunction with the Hon. Mr. Hanan."

Members on Active Service : Reinsurance. An account is submitted herewith showing the amount of the subsidies payable by the Government to the societies and representing half the cost of reinsuring the funeral benefit of members with the Expeditionary Forces : — £ Claims paid and in hand at 31 st March, 1916 .. .. .. 5,995 Claims received since 31 st March, 1916 .. .. .. .. 2,105 Total to date .. .. .. .. .. £8,100 This amount represents half of the premium cost (which is £16,200) of reinsuring the death benefits of 4,860 members of friendly societies. Hall Properties. I have on previous occasions referred to the practice of transferring to Management Funds the building properties belonging to- Sick and Funeral Funds. An important judgment on this point- was given in the New South Wales Courts in tin- case "Trustees of the Loyal Ryde Lodge, M.U.1.0.0.F., versus the Directors and Trustees of the Head Society of the M.U.1.0.0.F." In this case it was shown that the lodge had as far back as 1867 purchased land with money advanced out of the Sick and Funeral Fund, and subsequently built a hull with moneys also advanced out of Sick and Funeral Fund, including a small sum raised by concert and subscriptions. None of these sums had ever been repaid or the indebtedness acknowledged by the Management Fund, and the property had appeared in the balance-sheet as an asset of the Sick and Funeral Fund. The Judge therefore laid it down that once the asset is treated as part of the Sick and Funeral Fund, it must be definitely regarded as so allocated. This ruling applies to the attempts made in several New Zealand societies to deal with hall properties in an improper manner, and the judgment is quoted as a warning to officials who endeavour to carry out these illegal transactions. Validity op Friendly Societies' Rules. The following judgment bearing directly on the powers of friendly societies to amend their rules was delivered by the Appeal Court during the year in the case Cook and Others v. Donaldson and Others :— A district branch of the Ancient Order of Foresters and courts or branches thereof wenregistered under the Friendly Societies Act, 1909. The rules provided that the society should form a district branch in conformity with and amenable to the General Rules of the order, but the parent order was not registered in New Zealand. Under the rules each court has a Sick and Funeral Fund to which, the members had to contribute according to a specified scale, and the district society had two separate funds, a SickFund and a Funeral Fund, consisting of contributions from the courts, each court having to make payments to those funds in respect of each of its members according to a specified scale. The Sick Fund was to meet cases of sickness continuing beyond twelve months, and the Funeral Fund was a fund out of which the district society, in consideration of the contributions thereto by the courts, indemnified the courts in respect of their liability to their members for funeral benefits. Subject to the liability to make these contributions a court Sick and Funeral Fund was the property of the court, and was held in trust for its members. The rules of the parent order provided that the funds of each branch (court or district) should vest in, the trustees thereof for the sole use and benefit of the members of such branch, and should be under the exclusive control of the members and trustees thereof, subject only to the General Rules of the order. In 1914 the district society made rules purporting to abolish the two District Funds and to establish, in substitution therefor one fund, a Sick and Funeral Fund, out of which all sick and funeral benefits should be paid, and for that purpose the rules required each court to transfer to the district society its Sick and Funeral Fund (except any surplus) and all future contributions thereto. The effect of these rules (if valid) would be to transfer the Sick and Funeral Fund of each court, which, was for the benefit of the members thereof, to the Sick and Funeral Fund of the district society, which was for the benefit of the members of the society generally. Held, That the transfer of each court's Sick and Funeral Fund to the new District Sick and Funeral Fund was in contravention of section 40 of the Friendly Societies Act. 1909, and was invalid. The effects of tho judgment were far-reaching : — (1.) The validity of established Sick Funds and Funeral Funds of societies was touched. (2.) The consolidating rules of societies which had been in operation for some years were invalidated. (3.) It was doubtful if a New Zealand society had power to control its own constitution independent of the original parent body in Great Britain. Without going into the details of this important case, it must be pointed out thai: the judgment avoids consideration of the obvious and well-established fact that all societies had from the earliest years consolidated their funeral benefits. The objections that may be applied, to the consolidation of sickness benefits would, in principle, have equal weight when applied to the consolidation of funeral benefits. The Court of Appeal judgment meant that the Friendly Societies Act prohibited a society from effecting an important alteration in its financial constitution. (It should be noted that legislation on similar lines in other States has no such effect.) The freedom of members of societies to deal on legitimate financial lines with their own funds was thus seriously affected, and this was quickly realized by those who understand the close association and the obligatory relationship, financial and otherwise, that exist between a society and its branches. The prohibition against members altering

their business methods by means of their society's machinery was, moreover, a reversal of the established practice in friendly-society legislation, which has studiously adhered to a policy of noninterference with the internal constitutions of these organizations. It was therefore clearly the duty of the State to relieve itself of a responsibility it never intended to undertake, and the. question of freeing the Act from such an obstacle as section 40 was interpreted to be, had to be carefully considered. It was decided to repeal the section, thus putting our law in conformity with the English Act (which has no counterpart to this section), and to make due provision lor the validation of rules already passed or registered. This was embodied in the Friendly Societies Amendment Act of 19.15, which thus conserves for societies the fundamental right to control their own affairs. It should be added that section 40 was originally enacted in 1877 for the express purpose of imposing an extra check on bad administrative practices, at that time very common in friendly societies, but which, it is pleasing to report, are to-day almost non-existent. It would be as well, in view of this case, that societies carefully consider the effect of any reference in their rules expressing or implying conformity or subordination to the rules of the parent body in Great Britain. Repeal of Section 40 of 1909 Act. The amending Act of last year repealed this section, as already pointed out. The statement was made that the repeal removed an important administrative safeguard and weakened the powers of the Act in regard to irregular transfers of benefit-fund moneys. In order, therefore, to place the legal position beyond doubt and reassure those who feared ill effects from the repeal, the following opinion was furnished by the Revising Barrister of the Crown Law Office :— " I am of opinion that the repeal of section 40 of the Friendly Societies Act, 1909, has not removed any safeguard, against the misapplication of the benefit or other funds of a friendly society. The same provision as that set out in subsection (1) of section 40 is still contained in the Act in another way. In fact, section 40 contained a duplicate provision. " Section 12 (2) provides that the rules of a society shall contain provisions in respect of the several matters mentioned in the Second, Schedule. Paragraph 17 of that schedule! requires in the case of friendly societies ' the keeping of separate accounts of all moneys received or paid in respect of every particular fund for which a separate table of contributions payable has been adopted.' Then paragraph 18 requires ' the establishment of a separate fund for the payment of all expenses of management and of all expenses on afceount of. medical and surgical attendance, including medicine and medical and surgical requisites, and the keeping of separate accounts of such expenses and of all contributions on account thereof.' Similar provisions are set out in the Third Schedule with respect to branches. As these requirements are mandatory, no rules can be registered which do not contain these provisions. " Any person who wilfully applies any part of the funds to purposes other than those directed in the rules is liable under section 81 of the Act to a fine of £50. " Our provisions on this subject are now the same as those contained in the English Friendly Societies Act, 1896, and should be amply sufficient to safeguard benefit funds. " E. Y. This Act, besides dealing with the important policy question referred to in the preceding paragraphs, also provided for the following matters : The legalizing of the " officer " status of members of advisory oi- controlling bodies appointed by a society or branch to assist in the investment of funds; (he furnishing of evidence of assets, &c, on valuation as required and when required by the Registrar ; the limiting of the protection of the rights of soldier members to service in New Zealand ; the reinstatement of provisions relative to " specially authorized societies," making their rules binding and giving the right to sue for subscriptions.
OPERATIONS OF NEW ZEALAND SOCIETIES. Registrations. Pride of Manukau (New Zealand District). The following amalgamation was registered : M.U.1.0.0.F. Sisters of Friendship with Ponsonby (Auckland District). Court Enterprise seceded from. United Otago District A.0.F., and the Fountain of Friendship Lodge seceded from the Auckland District M.U.1.0.0.F. The following changes of name were registered : M.U.1.0.0.F. Waimangaroa to Denniston (United Westland, District) ; 1.0.0. F. Star of Ohaeawai to Star of Kaikohe (1.0.0. F. of New Zealand).

The rules of 36 societies and branches came under revision in one form or another for amendment during 1915. The total funds of the societies and branches as on the 31st December, 1915, amounted to £1,852,355, made up as follows : Sick and Funeral Funds (inclusive of amounts transferred to special funds out of surplus), £1,699,79Q; Medical and Management Funds, goods, &c. £152,565. Dividing the total, funds by the number of members at the end of the year it is found the average capital per member is now £25 7s. 4d.

Taking the several years 1906 -1915, the number of lodges whose returns were tabulated, the number of members, total funds, and average capital per member at the end of each year were as under : —

The next table shows the number of members of friendly societies, the amount of their accumulated capital, and the average capital per member, in each of the Australian States and in the Dominion of New Zealand, according to the latest received statistics, arranged in order of membership : —
The number of members sick during 1915 was 11,864, equal to 16-44 per 100 members at risk. The sickness experienced during 1915 was 113,682 weeks, equal to 9 weeks 4 days per sick member, and I week 4 days for each member at risk. Mortality. The following statement of average mortality experienced during the years 191 1-15 is given herewith, but; it takes no account of age incidence :
The contributions and entrance fees paid to Sick and Funeral Funds in I 915 amounted to £112,815. Divided by the mean number of members the average was £1 10s. 7d.. as compared with £1 10s. lOd. in 1914.

The interest and rent received by the lodges and central bodies amounted to £79,238 in 1915, equal to £1 Is. 6d. per member, as against 19s. lOd. for 1914. The amount of sickness benefit paid was £76,554 in 1915, equal to £6 9s. Id. per member sick, and £1 os. 9d. per member, as against £6 9s. I Id. and £1 os. lid. respectively for 1914. Viewing the amount paid in relation to the weeks of sickness, the average benefit per week is found to be 13s. 6d. in 1915, as compared with 13s. 9d. in 1914. The funeral benefit paid amounted to £19,701 in 1915, equal to ss. 4d. per member, as compared with 4s. 4d. for 1914. The total worth of the Sick and jFunerai Funds of 728 lodges at the beginning of 1915 was £1,546,937, and at the end of the year £1,641,479. The balance of gain for the year was £94,542, or £1 ss. Bd. per member in 1915, as compared with £90,791, or £1 4s. sd. in 1914. Investment of Funds. The net income from investments credited to the Sick and Funeral Funds for 1915 amounted to £79,238, the average rate being 5-10 per cent, (say, £5 25.), as against £5 Os. Bd. in 1914. Tbade-unions.. The following registrations were cancelled :By request The Picton Waterside Workers' Union and the Millerton Mine Workers' Union. There were' 32 unions on the register at the end of the year. Complete amendment of rules : West Coast Workers' Trade Union. Partial amendments of rules : Waibi Trade Union of Workers. Incorporate i> Societies Act. During 1915 there were 58 societies, clubs, or associations incorporated under this Act, and amendments of rules ol 43 societies were accepted. One society was wound up and 2 dissolved. On the 31st December, 1915, there were. 1,014 incorporated bodies on the register. A classification of these societies gives : 423 sports clubs; 274 automobile, social, and musical clubs; 174 professional, commercial, industrial, &c; 67 public-hall societies; and 76 miscellaneous. REPORT BT THE ACTUARY. Friendly Societies Department, Wellington, 26th May, 191.6. To' the Registrar. The valuations completed during the past year have been made upon the same mortality and sickness bases as in previous years- —namely, upon the experience of New Zealand friendly societies up to age 70, and upon Sutton's English Sickness Tables and Parr's Healthy English Mortality Tables after that age, with modification in special cases. In my report for a previous year 1 stated that " though the above tables are on the whole very suitable for tin- valuation of New Zealand societies, it is found that in certain geographical districts and in certain societies there are well-defined departures from the standard rates of mortality and sickness, a,nd before long it will become necessary to undertake a thorough investigation of the data with a view to the construction of auxiliary tables." The need for these auxiliary valuation tables is becoming more and more pronounced, and this work should be undertaken at the earliest opportunity. No allowance has, so far, been made in the valuations for the prospective effect of the war upon the liabilities of the societies, and that fact will require in lie borne in mind in basing any transactions upon the results. So far as immediate mortality is concerned, the financial effect of the war will to a great extent disclose itself during the continuance of the war —that is to say, the first valuation following the war will automatically indicate the exact effect of deaths that have actually occurred in action or from disease. The ease is different, however, when we consider temporary or permanent impairment caused by the Avar and involving prospective sickness or early death, or both. This will constitute an addition to the liabilities of the societies, depending, of course, upon the manner in which societies deal with these cases. There is no doubt that, if it were feasible, the proper course would be to estimate the prospective effect of this factor and add it to the liabilities in the valuation. An alternative course is to leave the matter in abeyance pending the end of the war, and then to make estimates on the best facts that can be obtained. Meanwhile each valuation must lie considered to be subject to a reservation. It is, of course, possible that in many lodges the additional liability so produced may be negligible when measured against the total strength of the lodge. The societies valued during the year comprise the Independent Order of Odd Fellows of New Zealand, a consolidated society; the Canterbury District, A.0.F.; the South Canterbury District, A.0.F.; the Otago and Southland District. U.A.0.D.; and Court Coromandel. Of' these the first is completely solvent on valuation, and the second nearly so; whilst the others, excepting Court Coromandel, show a distinct tendency towards improvement. A. T. Travebsi, Actuary.
