MEETINGS OF SHAREHOLDERS,
NOHTPABEIL GrOLDMINING COMPANY. — Tho annual general meeting of the shareholders of the Nonpareil Groldmining Company was held yesterday afternoon in the hall of the Mechanics' Institute. The meeting was very largely attended — Mr. Wormall, from the Thames, in the chair. After reading the advertisement calling the meeting, the report of the directors was read. The report, after relating circumstances showing the present condition of the company, stated that the produce of the mine had been 3,3140z. 19dwt. Bgr. of gold, worth £9,323 2a. Gd., out of which sum had been declared three dividends — one of 6s. 6d. per share, another of 7a. per share, and the third, of Bs. per share. A fourth dividend was expected to be declared on an early day. The directors only took office on tho 24th August, 1870, and on the 21st November of the same yaar the reef was struck which had since yielded 60 well. The mine now was one of the leading mints on the field. The financial statement was also read. The report of tho mine manager, Mr. John Goldsworthy, was next read. It itated that since the 11th of March, 1871, up to the present time, there had been 1,500 tons «f quartz crushed, which had yielded 2,3400z. of melted gold. Thera —•»tmi«f •p-» ; •"»" - «n hand, which was to be crushed on the day the repuiu — „. written. — The reports and balance-sheet were adopted. — A rather stormy debate ensued concerning the directors, many of the shareholders asking them to retire in a body, and let other men be appointed in their stead. — Mr. Ralph. Keesing wished to be entered on the minutes a resolution to the effect that the directors should retire annually in a body, and not one by one, as provided by the rules of the company. — It was shown that such a resolution could not be entertained unless a special meeting had been called to consider the matter of altering the company's rul-s — Mr. John Leek moved, "That it is the opinion of this meeting that the present directors should be called upon to resign in a body." The motion was seconded, and a poll demanded. — Several hours were then spent in ascertaining the number of shares represented at the meeting, either by person or by proxy, when tho result was as follows :—ln: — In favaur of the motion, 2,350; against it, 1,722. The motion, was then declared carried. — Mr. R. Home moved, " That this meeting do now adjourn for a week, to let the two directors at the Thames have time to send in their resignation!. "—Mr. R. Keesing moved as an amend* ment, "That the directors who are present do now send in their resignations, and that the two directors at the Thames be at once communicated with."— Mr. J. W. Friend seconded the amendment ; which, on being put to the meeting, was agreed to. — Messrs. C. Browne, W. Sloane, J. Uoodall, and C. B. Robinson then tendered their resignations, on condition that the meeting at once proceed to fill their places. — A rather stormy scene ensued, and several scores of motions and counter-motions were moved and seconded, during which Ifr. Home withdrew a motion for adjournment. Messrs. Wormall, Goodall, C. JB. Robinson, Mcßoberts, C. Brown, J. Wrigley, F. Ring, W. Sloane, Fenton, and Halley were nominated as directors. It was at last agreed to adjourn the meeting until this morning at 10 o'clock, in the same place.
