Company News FACTORS’ BID FOR HOLEPROOF

Take-over Terms Announced (N.Z. Press Association-Copyright) MELBOURNE, January 21. Factors, Limited, today announced terms of a take-over bid for Holeproof Industries. Ltd., of Auckland. The offer is six fully paid ordinary shares’of 5s each in Factors for each £1 N.Z, fully paid ordinary share in the "New Zealand company. Alternatively, New Zealand, holders are .given a choice of 25s N.Z. I cash for each N.Z. share.' Directors of the New Zealand company recommend acceptance, and it is understood that 65 per cgnt. of the New Zealand share-I holding has already accepted. The offer is worth about £ 1.75 m .bt, the present market value of about 8s for Factors’ shares or a little under £ 1.25 m on a cash basis.

Holeproof Industries, Ltd., New Zealand, has a paid up capital of £lm. in which there are 750,000 ordinary shares and 250,000 preference shares.

A subsidiary of the Australian company has been formed in New Zealand, Factors of N.Z, Ltd., to provide factoring, discounting, and lending facilities similar to those._now being provided by it in' Australia.
