Notice is hereby given that an Extraordinary General Meeting of the South British Fire and Marine Insurance Company of New Zealand will be held at tho Head Office of the Company, Queen-street, Auckland, on FRIDAY, the 28th day of October, 1994, at 11 o'clock in the forenoon, at which the following three Resolutions, which were passed at the Extraordinary General Meeting of the Company held on the 13th day of October, 1904, will be submitted for confirmation as special Resolutions:— - Resolution No. 1. (a) "That of the Authorised Capital, of the Company there shall be disposed of in manner hereinafter specified the shares in the said Company unissued amounting to 35,372. (b) "Each Shareholder whose name shall . appear on the Company's Register on the 12th day of October, 1904, shall be entitled to have issued to him one Bhare for every two shares held by him on that date; that for each of the shares so issued the sum of one pound ■ shall be paid by each shareholder on or before the 30th day of November, 1904, in cash, or, at the option of the shareholder, by the appropriation for such purpose of the bonus payable to such shareholder as ' herein next provided; that is to say, a bonus shall be paid to the shareholders out of the " profit and loss account of the Company at the rate of 10s for each share held by them respectively on the 12th day of October, 1904, that such bonus be payable on the 30th day of November, 1904, and that such bonus be at the option of any shareholder applicable to the payment of the amount then due in respect of the shares to > he issued as herein provided. (c) " Any Shareholder who holds less than two shares or whose holding does not form a multiple of two shall oh payment of £2 be entitled to have issued to him one of the unallotted shares paid up to £1; the sum of £2 received for such share shall he disposed of by placing £1 to the credit of the paidup Capital Account and £1 to the : credit of the Reserve Fund Account, or in lien of one such share, the Shareholder may, at his option, re--1 ceive from the Company the sum of £2 in money, which sum shall be debited to the Profit and Loss Account, provided always that either option shall be exercised oh or before the 30th January, 1905. (d) "Any of the said shares not disposed of as above shall be disposed of by the Directors, who shall invite tenders for the same from the Shareholders, subject to such conditions as they may think fit, and the shares shall he allotted to the Shareholders who offer the highest price for the same, and the premium received therefor shall be placed to the credit of the Reserve Fund Account. (e) "All the aforesaid unissued shares when issued in the manner hereinbefore set forth shall rank pari passu with the existing shares, and filial! participate equally in all future dividends of the Company. " '.' (f) "Any authority heretofore given to the Directors by the said Company as to the disposal of the said unissued shares not hitherto acted upon is hereby cancelled." Resolution No. 2. I' That Article 20 of the Articles of Association of the Company be cancelled." Resolution No, 3. " That Article 91 of the Articles of Association of the said Company shall be altered by striking out and cancelling the words of not exceeding twenty pounds per centum per annum' between the word ' dividend' and the word ' upon' in the said Article."
