THE MATAWAI O.M. CO. Tho half-yearly general meeting of tho Mfttawai Gold Mining Company (Tiki), Coromandel, was to have been held yesterday at the office of Mr. J. H. Harrison, legal manager, but owing toavery peculiar set of circumstances the business for which the meeting was called could nod be transacted. In the first place none of tho directors pat in an appearance, but that of course proved no obstacle, for there was a quorum without them. Mr. Fred Earl was called to the chair, and explained that the auditor, Mr. \Ym. Gray, having declined to certify the balance-sheet there was nothing to place before the meeting. Mr. Gray had written stating that at a meeting of shareholders held in Juno five directors were appointed, and after attending several meetings one of the directors asked to have his purchase money rofnndod, and that he should be allowed to retire from the directorate, and both requests were granted. This was prior to the registration of the company, and there were only four directors left, but of those, two, it appeared from the record;, had not paid for their shares, and were nob therefore shareholders, or qualified to sit as directors. He claimed, therefore, that there had been no meetings of directors, no passing of accounts, and that no money had been properly expended. He would, therefore, have to consider whether he should not, in the exercise of his duty, feel called upon to proceed against the legal manager and directors for a refund of the money expended. The situation was discussed at some length, and it was finally decided to adjourn the meeting until two I p.m. on January 10, the directors to be I asked to attend tho meeting.
