FRFE ASSOCIATION OF EMPLOYERS AND WORKMEN OF HAWKE'S BAY. RULES. NAME. 1. TV nimio of the association shall bo "The F.-'-e Association of Employers and Workmen of Hawko's Bay." OBJECTS. 2. The objects of the association shall be— (a). To enrol all classes of the community in one association for the purpose of establishing permanent and mutually beneficial relations between all classes of employers and workers. (b). To improve the condition of all classes of workers. (c). To procure employment at the best current rate of wages for all working members of this association. (d). To provide a fund from which assistance may be given to any of the ■workers who are members of the association and who may bo injured by accident or otherwise in the course of their employment. (c). To establish a Board of Conciliation, composed of both employers and workers, for the sottlement of all disputes between employersand workers, or between ono employer and another when suck dispute relates to any question affecting the workers of such employers or botween one worker and another or between one body of workers and another. ffj. To establish a fund for the protection of members. (g). To affiliate with similar associations throughout tho colony, and generally to seoure the co-operation of employers and workers with the view of promoting the well-being of workers and the uninterrupted progress of trade and commerce. MEMBEKSHir. 3. Every person who signs the declaration at the end of these rules shall be a member of the association. 4. The entrance fee,for subscribing rnetnberß shall be £1, and the minimum annual subscription shall be £2. Subscribing members are expected to contribute to the guarantee or other fund in proportion to the etake they hold in the colony. No employer shall be allowed to join the association exceptns a subscribing member. 5. Members shall consist of subscribing members and non-subscribing members. Every member who shall be elected in terras of Rule No. 8 and who pay the entrance fee and annual subscription shall be a subscribing member, and every member who shall bo so elected and who shall make to the funds of the association a donation of £2.')0 or shall under his guarantee have paid calls to that amount shall be a subscribing , member during his life without further payment, and overy worker who shall sign the said declaration shall bo a non-subscribing member, on whom no entrance fee or subscription shall be levied, but any worker may become a subscribing member upon payment of the entrance feo and annual subscription. 6. Any member may retire from the association at any time on delivering to the secretary a -written notice signed by himself or his attorney, and thereupon he shall cease to be a member and shall have no interest in or claim upon the funds of the association. 7. Any member who shall have purported to guarantee a specific amount to the Protection Fund shall bo liable to the full extent of such guarantee for three (3) years from the 4th day of September 1890, although he may have retired in terms of the preceding rule in tho same manner as if he continued to be a subscribing member of tho association. For the purposes of this rule guarantees shall subsist for periods of three years. Tho first triennial period shall terminate on the 4th day of September 1893. 8. Any person, firm, or company desiring to become a subscribing member shall be proposed by the chairman at the first meeting of tho Council held after such person, firm, or company shall have signed the said declaration, and"if elected by a majority of tho members of such Council thon present shall become a subscribing member. Such election shall bo by ballot. 9. The secretary may provieionally admit as a subscribing member any person, firm, or company who shall have signed tho said declaration and paid the entrance fee and annual subscription, and such person, firm, or company shall have all the powers and privileges until elected of a subscribing member except thft power of voting at any meeting of tho subscribing members until elected in terms of Rule No. 8. MANAGEMENT. 10. Tho business of tho association shall be conducted by a Council consisting of a president, a vice-president, and a Council of thirty who shall bo elected annually at the annual general meeting by the subscribing , members from the subscribing members, and who shall hold office until the appointment of their successors. In addition thereto life members shall have a permanont seat on the Council. 11. The president or in his absence the vice-president shall preside at all meetings of tho Council and of the association. Should both be absent those present may appoint any member of tho Council present at the meeting of the Council or of tho association to preside at such maetinjr. 12. A general meeting , of tho Association shall lio hold at least once in every year on the first Thursday of the month of September, and at such other time or times as tho Council may consider necessary, and the Council shall be bound to call a general meeting when so required in writing by not less than twenty subscribing members of this asHociation, who shall deliver their requisition to the secretary and state therein tho object for which tho meeting is required. Ten days notice at least shall bo given by advertisement of any genoral meeting, but the Council may, if any question demands urgency call a general meeting by giving such notice as it think* proper. 13. At least ten members of tho Council shall at all times bo elected from those of tho subscribing members who or whoso firms shall have signed a a guarantee to tho Protection Fund of £25 or moro. The local agent or manager of any company or corporation which shall have joiued tho association shall bo considered a subscribing member in tho satno way as if ho had personally subscribed in place of such company or corporation, except that ho shall not be personally liable for any amount guaranteed by such company or corporation. 14. All members of the Council shall be entitled to take part in the discussion of any matter brought before the Council and to vote thereon, subject to tho exception mentioned in Rule No. 22. 15. The president, vice-president, and nil other elected members of the Council shall retiro annually, but shall bo eligible for reelectiou. 10. I'ho Council may by ballot fill up any vacancies caused by death, resignation, or otherwise amongst its office-bearers and members. Persons appointed to fill such vacancies sbiill hold ofllco, however, only for tho remainder of the term for which the persons whose seats they fill -would have occupied the sumo respectively. \i. At all meetings of tho Council seven .shall form a quorum, and Ht all general mooting* of the association twenty subscribing members must bo present to form a quorum. 18. Thero shall be v secretary to the association, to bo appointed by the Council ut such salary as tho Council may determine. Tho Council may remove tho Secretary at pleasure. 19. Tho rules of this association may bo altered Ht an extraordinary general meeting called for that purpose by tho Council, provided at least ten days notice is given of the proposed alteration and of the holding of such meetinsr. 20. The funds of the association shall l>o paid into a Bunk to the credit of tho association, and the Bank account shall be operated upon as the Council shall determine. 21.
