Day Dawn. — The annual meeting called for yesterday lapsed. Mr G. S. Kissling (chairman of directors) was present. The directors' report stated that the situation of the mine prevented any thorough development being carried on without the outlay of considerable capital. Negotiations to provide this capital had been carried on with parties in London, but so far without success. In the meantime the directors are not tied to any offer. The cost of the actual mining operations had been borne by the parties in London. The statement of accounts shows that the receipts for the half-year were £307 17s od, and the expenditure £.?47 15b 3d, leaving a, balance in bank of £20 2s (>d. The directors' report stated that the new reef on the property looks xery well. The country in which the reef runs is a very nice real blue country, with thousands of mineral veins running in every direction. A short Umnel would give a hundred feet of backs. Operations on two neighbouring claims (the Waitekauri United and the Norman Proprietary) are now being vigorously pushed by the two English companies which own them. An option over the Scotia having fallen through some time ago, the directors are now negotiating with a strong English company for the sale to them of the property, and are hopeful of bringing the matter to a successful issue. Two men are now at work on the property. The directors consider the shareholders arc to be congratulated on the greatly improved prospects of the Company. Waitekauri Reeks. —An extraordinary meeting of shareholders was held yesterday afternoon at the manager's office when Mr Graves Aickin presided. The business was to con linn the action of the directors in .agreeing to amalgamate with two adjoining companies. The basis was that out of a company of 15(1,000 shares the Waitekauri South should be allotted 57,000, the British Empire 35,000, and the Waitekauri Reefs 40,000 shares. This was agreed to by the shareholders present and a further resolution was adopted that the Waitekauri Reef Company be voluntarily wound up and that the manager be appointed liquidator. Mount AVaihi.—The annual meeting of the Mount AVaihi Goldniining Company was held yesterday afternoon in the Company's office, Legal Chambers, Queenstreet. The directors' report stated that the Company had now been amalgamated with the Sir Julius claim. The work now being carried on is on the line of the Martha reef. The balance-sheet showed a credit balance of £37 10s 6d. The report and balance-sheet were adopted. The retiring directors, Messrs Graham and Crow, were re-elected, and the auditor, Mr Brimblecoinbe, was re-appointed.
