THE COMPANY is being formed primarily for the purpose of acquiring and extending the principal shipping and carrying concerns on the Waikato River. These businesses are at present carried cn, respectively, by Messrs Caesar Rcose, Junior, Edward Hallett, and C. C. Davis. It is proposed to acquire these businesses, with their considerable plants, and to provide capital for increasing and extending same, in order to meet the growing requirements of the districts served by this river and its tributaries. The Directors have gone carefully into the question of the valuations ef the assets of the businesses proposed to be acquired by the Company, and have had a special independent valuation made of all the steamers, launches, beats and punts, by Messrs David Gcuk and Sons, Boatbuilders, of Auckland, in substantiation cf the owners' valuations. A copy of the report can be inspected at the Office of the Secretary. * The Articles of Association, which are cn the co-operative principle, provide the nett profits of the Company shall be applied : FIRSTLY, in payment to each shareholder in the Company of a discount, or rebate, of 5 per cent, cn freight cn gocds paid by him to the Company during the preceding year; SECONDLY, in payment to the shareholders of a dividend at the rate of per centum per annum on the amount paid up cn the shares of the Company, and the balance (if any) shall te applied, at the discretion of the Directors, either in further dividend bonus or rebates. The Directors have power to make half-yearly interim payments. The confidence of the vendors in the proprsed Ccmpany is evidenced by the fact that out of a total payment of £7510 for tneir interests they have agreed to take £4535 in shares,'leaving a cash payment of only /2975. The Waikato River, which is situated in the most progressive Province of the Dominion, is navigable for lengthy distances. With its slow-current tributaries, including the Waipa River, and lakes, giving access to vast areas only partly improved and capable of immense development, it forms a natural highway, having advantages possessed by no other river in the Dominion, and the possibilities of rapid expansion are peculiar to its situation and character. The development of these highways in a businesslike manner will not only result in profit to the Company, but increase the prosperity of the districts served. The trade at present carried cn by three businesses (which it is prepesed to amalgamate and extend) cannot be so economically controlled as by cne concern having a large range of vessels capable of coping with all the different classes of traffic available on the river and its tributaries. Strong business connections have already been established by the three companies, and these will be at once available to the new Company, so that a regular trade will be at once entered cn, and it is confidently expected that a return of at least 10 per cent, will be made on the capital invested. The main tributary of the Waikato,is the Waipa River, which junctions at Ngaruawahia. This tributary runs through one of the most fertile districts of the Waikato Valley, which is badly served by roads, so that the potentialities of a river service are great. In addition a company has been recently formed for developing the lime industry at Karamu, and a river service will bring this in direct communication with the junction at Ngaruawahia, which will allow of the ready distribution of this valuable fertiliser. In the lower reaches of the Waikato there are several smaller tributaries, the country surrounding which is best reached by water communication, and it will be the object of the Company to develop these routes.
