It is proposed to form this Association for the purpose of acquiring the Business of Storekeepers carried on at Woodville for many years past, formerly by Messrs Monteith and Fountains, and latterly by Messrs Monteith Bros.; and also the Business of Messrs Hartstone & Co., Cheesemakers, of Woodville. The Btorekeeping Business has been successfully and profitably carried on from its inception, and with a steady and continuous increase of the volume of trade an extremely valuable business connection has been built up. Messrs 'Hlirtstone & 'Co. have carried on the Cheese Factory for the last four or five years in a manner which they can say, without fear of contradiction, has been thoroughly satisfactory alike to their customers and milk, suppliers, and the quality of the cheese turned out at the Factory is too well known to require any comment. The Business is now thoroughly well established and sound, and during the past season Messrs Hartstone & Co. received offers to buy more than four times the total output for the year at full market rates. Messrs Monteith Bros, offer their business to the proposed Association as follows: The Land (Oa 2rop) with Buildings, etc., and Goodwill of the Business for £2IOO. The Stock-in-Trade, which can be taken over at cost price with freight added, or at a 'valuation, is estimated at £2500. Messrs Hartstone & Co. offer the Cheese Factory, with Manager’s House (12a 2r Op of land), with Machinery and Plant as they now stand for £I2OO. The further objects of this Association are:— 1. To afford facilities to th§ Shareholders and Clients of the Association for, or to undertake for them, the shipment of their Produce to the various Markets of the World, and to appoint Agents for the furtherance of this object. 2. To make advances to Shareholders upon Wool and other Produce. 3. And, if necessary, to establish Manufactories for the piirpose of making Cheese or Butter. 4. To extend the operations of the Association in any direction which may - seem likely to benefit the Members. 5. To receive moneys on deposit at interest or otherwise. As conclusive evidence of the opinions of the Promoters as to the soundness and profitable nature of the business to be taken over by the Association, Messrs ‘Monteith Bros, are willing to take up 1750 shares, and Messrs Hartstone & Co. are willing to take up at least 1000 shares in the Association.

The Storekeeping Business will be under the management of Mr Geo. T. Hall, who has been in connection with the Store for the last eight years, and is thoroughly conversant with the requirements of the trade. Mr W. P. Hartstone will, as heretofore, have the sole management of the Cheese Factory. The Promoters feel sure that these arrangements will meet with the approval of intending Shareholders. It is not proposed that the Association shall take over any of the Book Debts of either business. The Association will be purely Cooperative, and the whole of the Profits, after payment of expenses, will belong to, and be distributed among, the Shareholders. The details and methods of distributing the Profits will be settled later. The Memorandum of Association and Articles of Association are in course of preparation, and will in due course be laid before the Shareholders for their approval. Applications for Shares will be received upon the accompan3’ing form at Messrs Monteith Bros.’ Store, and must be accompanied by the amount payable on application. If no Allotment of Shares is made, the deposit will be returned without any deduction, and should the number of Shares allotted be less than the number applied for, the surplus will be credited in reduction of the amount payable on allotment.
