PROSPECTUS. nnHIS COMPANY, intended to be founded by X the firm of Somervell Brothers, with the primary design of receiving the co-operation of parties associated with their business, is when registered, to he carried on under the style of " Somervell Brothers, Limited," and is to be formed for * the purpose of acquiring the Manufactories and Trading Premises at ' present in the possession of Somervell Brothers, together with the benefit of their old established connection throughout a large part of Great Britain and lrelan I, Jand in »nost of the trading countries of the world. The business was commenced in the year 1842, on a very email scale, has giadually increased in prosperity from that time, and is entirely free from speculation of any kind, consisting as it doos of a trade in goods in universal demand. The Leather Trade consists of the import of leather from various Foreign Countries, and its sale and re-shipment. The Leather Dressing Department obtained Honorable mention in the Industiial Exhibition of 1862. The Shoe Finding and Shoe Mercery Department consists of tho import, purchase, or manufacture of every article (leather exempted), that enters into the composition of a shoe or boot. The Closed Upper Manufacture was commenced eight years ago, when the perfection of sewing machines rendered it possible to apply them to the boot and shoe trade ; and it was .«oon found that this could only be done profitably on the principle of sub-division of labor, and the manufacture of large quantities enabling the makers to obtain the most skilled overlookers. Somervell Brothers obtained the Prize Medal for this department in the Industrial Exhibition of 1862. The Rivetted and Sewn Boot Manufacture is one but recently commenced, but has already arrived at such perfection that the goods manufactured in this department are pronounced by competent judges to be the best in the trade. It is intended to have the whole of the premises, with machinery and General Plant, valued by a competent and fair valuer, of character and respectability, such valuation to be made as between incoming and outgoing partners, but without any 1 addition for good-will. This Company offers «.o the shareholders tho advantage of entering at once upon an established business which it has taken twenty-two years to bring to its present position, and its profits in the past hold out a good prospect for future dividends. : Stock will ue taken on the last week of December in each year, and a dividend will be declared and payable before the end oi the January following. It is intended that a half yearly approximate dividend also be declared, and payable in July in each year. The piesent firm viz., the first two named directors, retain in their own hands 15,000 shares, on which A'vi pur share shall be at once paid by them, and in addition they, they allot to theuil selves 10.000 shares, with .£2 paid as a moderate valuation for the Goodwill and General Interest of the business they surrender. These 10,000 Shares to receive no dividend for the first two years, except the rest of the shareholders have I received 1 0 per cent. Somervell Brothers offer I the remaining 15,000 shares to their friends and j tho public. They propose to continue their undivided attention, as well as their practical knowledge and long [ experience to the management of the business, [ and will retain the supremo control. The other \ Directors will give their whole time to the I management of their various departments as they have hitherto done. Each share will carry one vote. The new Company will commence operations on the Ist day of July next, or as soon after as practicable. The present firm will hold themselves responsible for all the debts owing to them, which will however, be collected by the new company in the usual way. Hudson, Accountant, Kendal, and forms of application for shares must be directed to Somervell Brothers, Netherfield, 1 Kendal. /CAUTION, — A quantity of spurious Essences \J and other Articles of perfumery intended for shipment and sale abroad, upon which were affixed labels in imitation «f the label and trade , nurk, and hiving the trade signature of Messrs Piesse and Lobin. of No 2, New Bond Street, forged thereon, having been Bent into the Port of London, the same has been seized and condemned by her Majesty's Commissioners of Customs for tho Port of London, and as there is reason to beJieve that the practice of imitating the Trade MarJc and forging the Trade Signature of Messrs Piesse and Lubin is being carried on to a 1 arg extent : — Notice is hereby given that it is the in tention of Messrs Piesse and Lubin to proceed criminally or otherwise (as they may be advised) against any person or persons who may hereafter soil, export for sale, deal in or otherwise dispose of any perfumery with any labels or marks thereon or thereunto affixed, having the name and address and trade signature of their firm fraudulently and falsely printed, engraved, or forged thereon.
