Limited." and is to be foimeil for the purpose of acquiring the Manufactories and Trading Premises at present in the possession of Somervell Brothers, together with the benefit of their old established connection throughout a Jaiyo part of Great Britain and lrelan>, and iv most of the trading countiies of the woild. The business was commenced in the year 1842, on a very small pcalc. has giadually increased in prosperity from t hat time, anil is entirely free from speculation of any kind, consisting as it does of a trade in goods in universal demand. The Leather Trade consists of the import of leather from various Foreign Countries, and its sale and re-shipment. The Leather Diessing Department ohtained Honorable mention in the Industrial Exhibition of I*o2. The Shoe. Finding and Shoe .MerceVy Department consists of the import, purchase, or manufacture of every article (leather excepted). that enters into the composition of a shoe or boot. The Closed Upper Manufacture was commenced eight years ago, when the peifection of sewing machines rendered it possible to apply them to the boot and shoe trade; ami it was soon found that this could only be. done profitably on the piinciple of sub division of labor, and the manufacture of lai^e quantities enabling the makers to obtain the mo-t siilled overlookers. Somervell Brothers obtained the Prize Medal for this department in the Industrial Exhibition of 18G2 The Rivetted and Sewn Boot Manufacture is one but recently commenced, but has already arrived at. such perfection that the goods manufactured in this department are pronounced by competent judges to be (he. best in the trade. It is intended to have the whole of the premises, with machinery and General Plant, valued by a competent and for valuer, of character and re- ) spectability, . e uch valuation to be made as between incoming and outgoing paitners, but without any addition for good-will. This Company offers «o the shareholders the advantage of entering at once upon a.-i established business which it has taken tuenty-two years to bring to its present position, an.l its profits in th© past hoM out a good prospect for future dividends. Stock will ne taken on the last week of December in each year, and a dividend will be declared and payable before the end of the January following. It is intended that a balf.yeaily approximate dividend also be declared, and payable iv July in each year. The present firm viz., tho first two named directors, retain in their own hands 15,000 shares, on which -K2 per share shall he at once paid by them, and in addition they, they allot to themselves 10.000 shares, with £2 paid as a moderate valuation for the Goodwill and General Interest of the business they surrender. 'J hese 10,000 Shares to receive no dividend for the first two years, except the rest of the shareholders have received 1 0 per cent. Somervell Brothers offer the remaining 15,01)0 shares to their friends and the public. They propose to continue their undivided attention, as well as their practical knowledge and long experience to the management of the business, and will retain the supreme control. The other Directors will give their whole time to the management of their various departments as they have hitherto done. Each share will carry one vote. The new Company will commence operations on the Ist day of July next, or as soon after as practicable. The present firm will hold themselves responsible for- all the debts owing to them, which will however, be collected by tho new company in the usual way.
