The directors report : — " Your directors, in placing before Bhueholdera the statement of Acooviots and tepvtl for ihe yea* efided 801 h June, 1901, regret that they are unable to show a better Btate of affairs. The sluioing claim shows a profit for the year ol about £400; but, unfortunately, since the new dredge started circumstances have arisen oausiDg vexatious delay in getting the dredge in proper working order, suoh as breakages in machinery, etc. In accordance with the articles of association, one director retires, also the auditor, and both being eligible offer themselves lo* te-eletlloa. The Wtanoe sheet shows :— Liabilities : Capital— ll,ooo shares at £1 per share, £11,000 ; lobb calls outstanding, £32 9a 6d ;— total, £10,967 10s 6d. Sundry creditors, £1619 10s 7d ; debitbalance, Bank of New Zealand, £2308 Is 4d ; profit and loss balance, £1040 16s ; — total, £15,935 18a sd. Assets: Dredge aooount, £10,528 16a 4d; mining property account, £1600 ; water-race and dam (dredge claim), £182, Is lid; dam (sluioing olaim), £664 6s 7d ; hydraulic olaim ncooaot, £2955 23s 7d ; sundry debtors, M j — total £15,935 18a sd,
