That the said Liquid itor be and he is hereby authorised to consent to the registration of a New Company, to be named the Old Haur&ki Gold Mines, Limited, with a Memorandum and Articles of Association which ho.ye been already prepared with the priiity and approval of^the Directors of this Company. 3. That the draft Agreement expressed to be made between the Liquidator of this Company of the first part, this Company of the second part, the Liquidator of the Old Uauraki G.M. Company, Ltd., of the third part, the Old Hauraki G.M. Company, Limited, of th<s fourta part, and 'Ihe Old Hauraki Gold Mines, .Limited, of the fifth part, be and the same is hereby approved, and that the «aid Liquidator be and he is hereby directed tv enter into an Agreement on behalf of thia Company in the terms of the said draft and to carry the same into effect. Should the said Resolutions be passed by the required majority they will be BUbmilted for confirmation as Special Resolutions to a second Extraordinary Meeting, which will be subsequently convened.
