NOTICE is hereby given that an Extraordinary Meeting of the Otago Gold Mining Company (Registered) will be held in the large room of the New Zealand Insurance Company's Buildings, Queen afreet, Auckland, oq THURSDAY, 21st October, 1875, at 2 o'clock p.m., for the purposs of consider* ing and passing (if approved) the following resolutions: — That the Otago Gold Mining Company (Registered) be wound up under clause 112 of the Mining Companies Act, 1872. That a new Company .bo formed, to be called the Otago Quartz Mining Company (Limited), to be registered under the Joint Stock Companies Act, 1860, and its amendments, for the purpose of. acquiring the properly and carrying on the mining opera-, tions of the old company. That 2,200 of the forfeited shares belong* ing to the old Company, be cancelled, and that the remaining 98 be reissued to the public at Buch time and rates as the Directors may think fit, in orde» that the number of shares in the old Company may be reduced to 5,000. That the capital of the new Company .ihsll be £10,000 in 5,000 shares of £1 each, fully paid up, und 5,000 of £1 each on which £1 per share may be called up. .* That each Shareholder in the new Company, shall be entitled to one fully paid-up share for every share held by him in the old Company. That one share in the new Company yn which £1 may be called up shall be offered to Shareholders in the old Company for every share held by them. That holders of euch new shares shall, without regard to the nominal value thereof or the amount called up thereon, be on the same footing as the holders of the paid-up shares, and shall be : entitled equally with them to the property of the Company and to Bhare in all dividends-andprofits. That such offer shall be made to each Shareholder by notice specifying the number of shares to which he is entitled, and limiting a time within which the offer, if not accepted, will be deemed to be declined. ■•■•!. That on the acceptance. of such sharea a 'deprsit of one shilling shall be paid, and; the remainder ef the £1 per share be-fiftw^Mßte^-to time called up (if required) in such instalments as the D rectors think fit.
