OTAGO GOLD MINING COMPANY (Eecustebed.) NOTICE OF EXTRAORDINARY MEETING. NOTICE is hereby given that an Extraordinary Meeting of the Ofcago Gold Mining Company (Registered) will be held in the large room of the New Zealand Insurance Company's Buildings, Queen street, Auckland, on THURSDAY, 21it October, 1875, at 2 o'clock p.m., for the purpose of considering and passing (if approved) the following resolutions: — That the Otago Gold Mining Company (Registered) be wound up under clause 112 of the Mini»g Companies Act, 1872. That a now Company be formed, to be called the Otago Quartz Mining Company (Limited), to bo registered unrior the Joint Stock Companies Act, 1860, and its amendments, for the purpose of acquiring the property and carrying on the mining operations of the old company. That 2,200 of the forfeited shares belonging to the old Company be cancelled, and that the remaining 98 be re-issued to the public at such time and rates as the Directors may think fit, in order that the number of shares in the old Company may be reduced to 5,000. That the capital of the new Company ihall be £10,000 in 5,000 shares of £1 each, fully paid up, and 5,000 of £1 each on which £1 per share may be called up. That each Shareholder in the new Company shall be entitled to one fully paid-up share for every share held by him in the old Company. That one share in the new Company on which £1 may fee called up shall be offered to Shareholders" in the old Company for every share held by them. That holders of such new shares shall, without regard to the nominal value thereof or the amount called up thereon, be on the same footing a3 the holders of the paid-up shares, and shall be entitled equally with them to the property of the Company and to share in all dividends and profits. That such offer shall be made to each Shareholder by notice specifying the number of shares to which he is entitled, and limiting a time within which t*e offer, if not accepted] will be deemed to be declined. That on the acceptance of such shares a depesifc of one shilling shall be paid, and the remainder ef the £1 per share be from time to time called up (if required) in such, instalments as the Directors think fit. That after the expiration of the time limited for the acceptance of new shares, or on receipt of an intimation from any Shareholder ,to whom notice is given that he declines to accept the Bhares offered, or on failure to pay the deposit as required, such shares, shall become tbe property of the Company, and may, with other Shares the property of the Company, be from time to time told by the Directors in 6uch numbers, at such times, in such manner, aud for 6nch price, as the Directors think fi\ That William Elood (Legal Manager) be appointed as Liquidator for the old Company, and that all book*, documents, and accounts thereof be left in his custody for such period as he may deem necessary, but not for a less period than six months. The principal prize will bo THE BIRTHDAY CUP, VALUE £50. This will be composed for in three running handicaps of 100 yards, 300 yards, and 880 y->rds. Tor running first in any of the races 6 points will be allowed; for running second 4 points, and for running third 2 points. The Competitor scoring the highest to'al of points in the three races will receive the first prize, £25 iii *noney,;,and £: Valuable Silver Cup presented by Mr Joseph Emjs, Exehango Hotel, Queen street. A second aggregate prize of £8, and a third of £5 will also be given. In addition'to T the aggregate prizes, first and second prizes of £3 and £1 respectively will be awarded at each distance.
