The obje OBJECTS OF THE COMPANY: of the Compai set forth in the Memorandum of AsShortly stated, the objects are to provide the public with all classes of goods at reasonable prices direct from the manufacturers, -and to provide the means whereby the public may import their requirements direct. The Company will have the benefit of the huge business which is already transacted by Mail Order C.0.D.. as residents of Xew Zealand who are in the habit of purchasing in this manner will be able to order through this Company and will have the advantage of being able to inspect samples of the goods which they wish to order instead of relying on illustrated catalogues. Representations have been made to Parliament to cancel the present C.O.D. Post Office system and in all probability the new Parliament will carry into effect the cancellation of this arrangement. The Company will derive its profits from the special discounts allowed to the Company by the Manufacturers varying from 15 to 33 1-S per cent. This is after allowing for heavily reduced selling prices. The Company will also indent for the public on a commission basis, and will be entitled to commissions on insurance and will benefit by special reductions on samples. FOOTWEAR: The promoters of the Company have obtained for the Company the Xew Zealand Agency for the great English Footwear Firm, Messrs. William Barra tt Co., Did., Northampton. This great Firm has a capacity output of 20,000 pairs of shoes weekly, and their great factory is equipped with the most modern machinery that has been invented. Footshape shoes are world-wide renowned. Beautifully illustrated catalogues, showing all the very latest in smart footwear, may be inspected at the Company's offices. CROCKERY. CHINA, AND GLASSWARE: Trading arrangements have been made with the undermentioned Pottery Firms The Fenton Pottery Co., Royal Fenton Works, STAFFORDSHIRE. The China Street Pottery Co., STAFFORDSHIRE. The Hanover Pottery Co., STOKE-ON-TRENT. Makers of fine China for over a quarter of a century. Complete illustmted catalogue shows all prices, qualities, designs. Special prices for Tearooms, Hotels, Clubs, Schools. Institutions, either plain or Badged Ware. Best English (Green). Fire-proof (White inside). Hotel glass, crystal, trinket sets, etc. TEA: Special arrangements have been made for the importation into Xew Zealand of high-grade Broken Orange Pekoe, and Broken Pekoe Teas absolutely FREE direct from the gardens of Ceylon, t obe sold at 10/9 51b., and 12/6 51b. MISCELLANEOUS. Arrangements have been made in England for buyers on behalf of the Company, for all classes of goods. Wire, Xo. 8 fencing, heavily galvanised. (English) at £l6 18s per ton landed. Linseed Oils, Stockholm Tar, Staples, Barb-wire, Glass, 100 sq. ft. per case. Steel Bars, Motor-car Lubricating Oils, Motor Tyres, and Tubes and Accessories. Catalogues, and Price-lists may be inspected at the Company’s Offices. The Company will carry ranges of samples of Irish Linen, Manchester goods. Carpets, Furs, and Musical Instruments. The Company has also made arrangements to indent from Great Britain any class of articles and in any quantity, and hundred? of pounds of orders have already been promised. In all probability, an officer of the Company will be proceeding to England as soon as the Company is authorised to commence business. If you require anything personally purchased for you m England, call at once at the Company’s Offices, for full information. Goods will be forwarded direct to the Company or direct to you through the Bank. By joining this Company, you will be able to procure any article you may require at cheapest possible market prices. Over 1.500,000 men and women are unemploj'ed in Great Britain. By joining this Company you will assist in a practical manner British trade, because the chief object of this Company is to assist British industries. The more goods we buy from Britain, the more produce Britain buys from us. GENERAL: 1. A Copy of the Memorandum of Association can be inspected at the Office of the Company’s Solicitor, A. V. Fraer, Ellison Chambers, Auckland. 2. The number of shares fixed by the Articles of Association as the qualification of a Director is 100, and the remuneration of the Directors shall be fixed by the Company in General Meeting. 3. The minimum subscription on which the Directors may proceed in allotment is 2,000 contributing shares. Should this number not be applied for within ninety days of the issue of the Prospectus, the whole of the application money will be returned. 4. The preliminary expenses of and incidental to the formation and establishment of the Company are estimated at £2OO (exclusive of brokerage) and will be borne by the Company. 5. The Company may pay a brokerage not exceeding 5 per cent on the shares subscribed and allotted. 6. The only material contract affecting the Company is an Agreement for Sale dated the 11th day of December, 1928, made between John Hamilton of Dunedin Agent and Arthur Bertram Taylor of Dunedin Company Manager of the one part and Roy Stanley Frapwell of Dunedin Law Clerk as Trustee on behalf of the Company of the other part. A copy of this Agreement may he inspected at the Office of the Compan3'’s Solicitors during business hours. Under this Agreement the Company acquires all the agencies trading agreements and business arrangements of Messrs. Hamilton and Taylor, who will be paid in cash the sum of £SOO and will receive 500 fully paid up shares of 10/- each for the said agencies, etc., and for their services and out of pocket expenses relating to the initial negotiations regarding the formation of the Company, § but. the cash payment of £SOO is not to be paid to them until 5.000 contributing shares are subscribed. Xone of the other Directors apart from Messrs Hamilton and Taylor have any interest in the promotion of the Company nor in any property proposed to be acquired by the Company. BENEFITS DERIVED FROM JOINING THE C.O.D. IMPORTING CO., LTD. (Please Read Carefully.) 1. Under the present system, you can only purchase goods that can be readily posted; by Joining this Company you will be able to purchase all classes of goods, irrespective of weight. Carpets. Musical Instruments, Crockery, Farming Machinery, Fencing Wire; in fact, practically everything excepting groceries. 2. Instead of choosing your goods from illustrated catalogues, you will be able to buy direct from the actual guaranteed samples. 3. Instead of paying duty on the Retail prices, by Joining this Company, you will pay duty on the Wholesale prices. 4. Under the present system you get no discounts. By Joining this Company, you will receive an average of 10 per cent, discount on all purchases excepting special indents. 5. Under the present system, you do not participate in any benefit or profit. By joining this Company, your shares entitle you to all benefits and profits of the Company, besides the advantage of special buying facilities in London. 6. Under the present system, you have to waif nearly four months for your goods. By joining this Company, you will be able to get immediate delivery of hundreds of lines, that do not change in fashion. 7. Under the present system, you deal exclusively with the retail firms in England. By Joining this Company, you go straight to the manufacturers, which means still lower prices. 8. Under the present system, the whole of the money collected by the Post Office goes to England. By Joining this Company, you assist New Zealand, because the Company will be paying company tax, and income tax, and will be heavy employers of labour. 9. The Company will operate New Zealand Furniture, also assisting employment. 10. The great Northampton firm of Messrs. William Barratt dL Coy., Ltd., manufacture 20.000 pairs of shoes per week, and are the aetual manufacturers of "Footshape" Shoes. This Company brings this Huge factory to your very door. 11. By joining this Company, you will be able to buy your Crockery, Glassware, and Crystal direct from the actual makers, in Staffordshire, not from catalogues, but from the actual samples. 12. By joining this Company, the money you earn will go nearly twice as far as it does at present. 13.
