W iCaJTC 1 1 rAK o Usually Sold at Substantial Premium ABRIDGED PROSPECTUS OF CONSOLIDATED BREWERY LIMITED (To be incorporated under “ The Companies Act, 1908.”) Capital - - £30,000 Divided into 30,000 Shares of £1 each, which are now offered for subscription on the following terms: 2/- per Share payable upon application. 2/- per Share payable upon allotment; and the balance as and when the Directors may determine. Brewery Shares Head the List of Big Dividend Earners! It is generally recognised that Brewery Shares almost invariably bring to their fortunate owners wonderful returns on the capital invested. According to a very prominent financial authority, breweries form the leading group of high dividend paying concerns in Australasia. Instances of the remarkable dividend earning capacity of brewery investments can be gleaned from the following:— N.Z. BREWERIES LIMITED: £1 shares sell at £2/12/6. An increase in value of 160 per cent. These shares have constantly paid 10 per cent, dividend. If these shares had been purchased at par, 10 per cent, would have been received on the money invested and at any time it would have been possible to make a profit of £l/12/6 on every pound invested. STAPLES & CO. LTD.: £1 shares have buyers at £l/17/6. An increase of 67£ per cent. Dividend 10 per cent. TUI BREWERY LIMITED: According to a statement issued, Interim dividend and bonus for past six months were at the rate of 20 per cent. Dor the year ended August 1926 profits earned were £9,291 and the capital is only £22,176. Thus, although 20 per cent, was paid, the earnings were equal to 42 per cent on the Capital. IF a small inland brewery can produce these profits, what should Consolidated Brewery earn? Situated in Napier and serving Hastings together with large surrounding Districts; being at a port allows cheap water carriage; already well established and with splendid representation in both Auckland and Wellington. Think and Act TO-DAY! Objects: The objects of the Company, which are fully set out in the Memorandum of Association which is printed in the Prospectus, are briefly as follows: 1. To acquire the Freehold, Buildings, Plant, Brewery License, and Wine and Spirit License of the Hawk Brewery Company Limited of Napier. 2. To continue the business of Brewers, Wine and Spirit Merchants and other lines' as now carried on by the aforesaid Company. Directors’ Qualification and Remuneration. The Articles of Association of the Company provide that the qualification of a Director shall be a holding of not less than 500 Shares, and the Directors shall receive by way of remuneration for their services such sum per annum as the Shareholders in General Meeting shall determine. Minimum Subscription. The minimum subscription upon which the Directors may proceed to allotment is fixed at 17,000 shares. Purchase of Brewery. Details of material contracts and other particulars are given under “General Information” in the complete Prospectus, but the following figures give a general outline of the facts:— The Purchase Price is £15,000, of which £5,000 is to be left on first mortgage. The Brewery is erected on a valuable Freehold in the City of Napier. The buildings form a wellknown business block in the city. The Plant is very complete, and the present capacity of the Brewery is 80 hogsheads per week, capable of easily being increased. Whilst the majority of the past output has been consumed in and around Napier, it is intended to popularise the product in other districts, and with this end in view it is intended to secure shareholders over a wide field. The only material contract affecting the Company is: Ail option dated the 28th day of April, 1927, granted to Alexander Milliken, Solicitor of Auckland, as Trustee for the Company by the Union Investment Company, Ltd., wherein it is agreed to place under option to the Consolidated Brewery, Ltd., the right to purchase the Freehold, Land, Buildings, Plant, Brewery License, Wine and Spirit License and Registered Trade Marks of the Hawk Brewery Co., Ltd., of Napier, for the sum of £15,000 (Fifteen thousand pounds stg.), payable by £IO,OOO in cash and £5,000 on first mortgage of the said freehold at 7 per cent, interest for 5 years. A copy of this document may be seen at the Offices of the Solicitors during office hours. Return to Investors. The Provisional Directors have had the opportunity of carefully perusing the figures, and while it is not deemed advisable for a proprietary such as this to publish the exact particulars, the figures are such, that with the additional facilities the new Company will provide, the public can invest in these shares with the anticipation of a good return on their capital. It is anticipated the issue will be oversubscribed and since shares will be allotted according to the time of receipt of applications immediate action is necessary. Waeher, Brewer, of Napier, and one of the best known Brewers in Australasia, as follows: 1. The capacity of the Brewery is 80 hogsheads per week. 2. A new fermenting vat is necessary, and will cost approximately £SO. Everything else is in excellent order. 3. The quality of the water is such that in all my experience (extending over 35 years) there is no better water for brewing purposes in the whole of Australasia, and I can undertake to keep the product at its present excellent quality. 4. Our present product is entirely free from chemieals. Purchase Price Below Valuation of Property. Report and Valuation by C. C. Willis, Esq., Valuer, of Napier:— Land £7,600 Building £ 4,500 Plant £ 4,044 Total £16,144 The total value I place at £16,144. You will notice that I have not placed a value on the licenses held by the Company, or the Goodwill. Whilst I consider the buildings, togother with their special fittings, to be of much greater value to a Brewery Company, I have only placed what I consider to be a fair value thereon. Profits. Apart from the Brewing Business, the Company also has a Wine and Spirit License and holds valuable agencies for the Napier District. The Brewery is capable of producing 80 hogsheads per week, and with the additional revenue from agencies it is apparent that investors can anticipate a profitable return on their shares. One has only to view the profits made by existing breweries to realise that this is a unique opportunity to buy shares at par. Many investors are to-day enjoying the fruits of having invested early, as substantial premiums are demanded by shareholders in most brewery stocks. Brokerage will be paid by the Company to the organising Brokers, William A. Horne, Ltd., at the rate of £5 per centum on tho nominal Capital of the Company as and when issued and allotted. The Preliminary Expenses including, Legal Advertising, Printing, and others incidental to the establishment of the Company (exclusive of brokerage), are estimated to amount to £SOO, and will be borne by the. Company. Products and Distribution. The products are sold under the Brands of “Hawk” XXXX Ales, “Hawk” Double Stout, and “Hawk” Invalid Stout. Messrs. Burns, Philip & Co., Ltd., will act as Distributors for all Consolidated Brewery Products in Auckland District, and Messrs. Ellis & Manton in a similar capacity in Wellington. With these excellent arrangements for the two main centres, together with the popularity already enjoyed in the Napier District, the future is thoroughly assured.
