NEW ZEALAND REFRIGERATING COMPANY.

An extraordinary general meeting of the New Zealand Refrigerating Company was held at the Board Room, Agricultural Hall Buildings, on Thursday morning. Mr John Roberts, C.M.G., presided, and 10 shareholders were present, and 2583 shares were , represented by proxy. i The business of the meeting was— (l) To confirm the minutes of the extraordinary , general meeting of shareholders, held on - April 4, 1905, when the proposal to amal- , gamate with the Christchurch Meat Company was considered. (2) To confirm as special resolutions the following resolutions,^ which were passed at the said meeting held on April 4, 1905:— (a) That the company be wound up voluntarily ; (b) that i Mr William Murray be appointed liquida- ! tor; (c) that the liquidator be authorised to carry out said proposal, and do all things necessary for that purpose, pursuant I to section 259 of "The Companies Act, 1903."

The Chairman mentioned the purpose of the meeting, and said there was nothing left for him to say beyond that a wire was received the previous day from the Christchurch Meat Company after the holding of its meeting of shareholders, this reading : " Meeting over ; amalgamation proposals carried unanimously," and this virtually carried the approval of the Christchurch company, so the confirmation of the decisions of the last Dunedin meeting would virtually close ths business altogether. As far as he could gather from shareholders, on the whole the step which the last general meeting took met the approval of pretty well the entire body of shareholders as being under all circumstances a very fair and satisfactory arrangement.

The Chairman then moved, in sequence, the confirmation of the above resolutions, the motions being carried without discussion.

Mr R. Hay moved a hearty vote of thanks to the chairman and directors, who were, he said, to be congratulated on the successful termination of negotiations. Mr A. Todd seconded the motion, which was carried unanimously, and the meeting terminated.
