OVER-ISSUE OF SHAKES.

ALLEGED FALSIFICATION OF A REGISTER. - Auckland, July 6. A meeting of shareholders in the Fiery Cross, Prince of JVales, and Waihi Welcome Gold Mining Companies was held to-day, when there was a large attendance of shareholders* Mr J. M. Shera, who was voted to the chair, explained that in the Fiery Cross aboub 9100 shares in excess had baen issued, in the Waihi Welcome 9000, and in the Prince of Wales 10,000. As far as could be ascertained the3e shares had been sold and passed from broker to broker and investor to investor, ancUllransfers had been stamped and registered and receipts issued. In many instances calls were made, and had been paid. The position now was that, acting legally, the manager of ths companies bad declined to register new transfers on the ground that the title was acquired from bogus shares. The conveners of the meeting communicated with the directors of the .various companies, and the result of their inquiries was laid before the meeting. After a lengthy discussion it was resolved that a committee be appointed with a view to arranging an amicable settlement with the directors of the respective companies, and failing that to take a test case against a company. Acting-detestive Mills proceeded to North Shore to-night, and arrested at his residence, there Wm R. Waters, legal manager of the Fiery Cross Gold Mining Company, on a charge of wilfully falsifying a certain book, the register of the company, by entering upon the said register 3000 shares as being the property of

] the said Wm. R. Waters in trust, whereas 1 such tb&rcs did not exist in fact.
