IT is proposed to form this Company for the purpose of Erecting in Dunedin a Building j suitable for Masonic purposes, to be open to all regularly constituted Masonic Lodges, at a rent to be fixed by the Board of Directors. The promoters of the Company would also point out, that a building of suitable, dimensions, capable of being used as a Public Hall, would be the 60urce of a good revenue, independent of the rent paid by any Masonic Lodge. The nominal capital of the Qompany it is proposed should be £2000, in 200 shares of £10 each ; but it is expected that, when plans und tenders have been received, it will be found that a suitable building can be erected for much less than the sum proposed. The Committee also would recommend, that the following clauses be embodied in the Deed of Settlement, believing that they contain the essence of the' contract on which the Company should be incorporated, viz. :~ Jat — That the maximum dividend to be divided annually should 'be ten per cent, on the amount paid up, the balance of profit, if any, to be devoted to the purchase of the shares of the Company, which shall be handed over to Trustees previously appointed for the purpose, in order that the Hall may eventually be entirely vested in them for the use and profit of the craft in general. In order to carry out this object, it shall be compulsory on every shareholder to sell his shares to the Directors for the above purpose whenever they are in a position to purchase ; — the shares purchased to be chosen by lot, unless any be voluntarily offered. 2nd— That after the said Trustees are in possession of all the shares of the Company, they shall let the building to all regularly constituted Lodges of Freemasons, at a nominal rent, sufficient only to keep the building in repair. With these suggestions the Provisional Committee leave the matter in the hands of the Masons of Otago, and earnestly request that all who intend giving the scheme their support ■will send in their applications for shares at once, so that the Committee may feel warranted in taking further action in the matter, as they intend on receipt of applications for 100 shares to proceed to allot the same, and to call for plans and specifications which may be laid before a general meeting of the allottees to be called for the purpose.
