Invercargill, Bth July 1859. [ADVERTISEMENT.] TIIE LIVERPOOL AND LONDON FIRE AND LIFE INSURANCE COMPANY. REPORT of the Directors of The Liverpool and London Fire and Life Insurance Company, to the Twenty-third Annual General Meeting of the Pt-opriltors, held pursuant to the provisions of the Deed of Settlement, on the \7th day of February 1859, in the Company's Office, 1, Dale Street, Liverpool. THE DIRECTORS have again the pleasure to meet the Proprietors of the Company in Annual Meeting, and to submit to them a summary of the Business of the year. That year has had impressed upon it in no ordinary degree the effect!, of the commercial disasters of 1857 ; and it would be vain to expect that an institution such as this, which is identified so closely with the meicantile inteiests of the world, should escape altogether the consequences of calamities by which, to so remarkable an extent, ihose interests have been disturbed. By the retirement of offices whose business was not adequate to the expense at which they were conducted, opportunities have presented themselves of acquiring increased connexions in parts of the country where, up to this time, less business has been derived than the important position possessed by the Company appears to entitle it to look for, and the Directors have not hesitated to avail of them, by agreeing first to an amalgamation with the Noith of England Insurance Company, and subsequently to talie over the Fire Insurance Business of the Bank of London and National Piovineial Insurance Company, measures which they doubt not will work to the permanent advantage of the concern. CAPITAL. In the course of the year 140 Shares have been issued, and the number in the hands of Proprietors is now 94,351, representing, at £2 a share, a paid up Capital of .£188,702. TIKE DEPARTMENT. The causes to which the Directors have already adverted have occasioned a considerable falling oft" in some Blanches of the Fire Business, and that again h.is been aggiavatcd by the necessity of closing at an earlier period than usual the accounts of a large niopoition of the Company's Foreign and Colonial Establishments, bo that lets than a full yeai's teccipts aie cnmpiised in the Accounts now produced. The steady pi ogress of the Company, however, in those classes ot lisk which are little acted on by temporary and p.is^ing movemrnts, his done much to compensate for the deficiency previously alluded to; and as one evidence oi' the soundness of the policy liiihci to pursued, and of the increasing' hold upon public favour the office is steadily obtaining, it may be mentioned that its Fire Business in London is now fihy per cent, gi eater than that of any other office ol provincial oiigin.. The Premiums of the year amount to £276',0J8 75., and the losses to £100,372 12s. 7d. LIFE DEPARTMENT. The number of Policies issued during the year is 757, insuring £507,175, and producing in Premiums £15,069 ss. sd. The total income horn Premiums was £121,411 10s. 9d., and the Claims amounted to £53, 6'G0 lls. 9d. Making allowance for the circumstances of the year, it will be found there is every reason to be satisfied will) that result. Indeed, the success which attends this branch of the Company's opeiations is the best evidence that its system of business, if peculiar, is at all events acceptable to the public, and that there is a considerable t;lass who piefer the certainty of its guarantees to the chances of greater ihingo which tempt them elsewhere. The sum received in purchase of Annuities was £17,267 Is. 4d., ,111 d the amount paid to Annuitants was £15,111 13s. M. The number of those who died was nine, and they were in receipt of £177 Bs. 9d. annually. A valuation of the engagements in this Depaitmcnt will be made next year. BRANCH ESTABLISHMENTS AND AGENCIES. A further large addition has been made to the Agents of the Company, and it is very satisfactory to be able to repoit so many in a state ol useful activity, and contiibuting in an important measure to the substantial advancement of its inteiests. RESERVED SURPLUS FUND. The Reserve Surplus Fund now amounts to £215,596 lls. lid. PROFIT AND LOSS. The balance of this account is £212,005 Is. sd. Notwithstanding the result of the year's operations has been so much less favourable than up to a very recent peiiod it was hoped it would be, the Directors are able to declare the same Dividend as was paid for 1857) namely, Twelve Shillings a Shaie, equal to 30 per cent., free of income-tax, and to leave at the ciedit of the account as a lleinsurance Fund the sum of £155,991 9s. 5d., after the Dividend is paid. This fact will be an assurance to the Proptietors of the stability of the institution with which they are connected, and of its likelihood to yield them at no veiy distant day advantages yet greater than any hitherto enjoyed. The following Table will show the position of ths Company's Fund now, as compared with 1857 :—: — 1857. 1858. The Capital £158,422 0 0 increased by £2SO 0 0 is now £188,702 0 0 The Reserved Fund 214,610 11 11 „ „ 980 0 0 „ 215,596 11 11 The Life Fund 531,269 13 10 „ „ 64,472 17 10 „ 595,742 11 8 The Firs He- insurance Fund.. 153,710 8 0 „ „ 2284 15 „ 155,991' 9 5 £1,088,018 13 9 £68,010 19 3 £1,156,055 13 0 Having regard to the objections taken to the existence of Shares, on which a small portion only 0^ the amount is actually paid up, the Directors have determined to lecommend the Proprietors to convert into Stock the Capital which is now divided into 100,000 £20 Shares, having £2 only paid on each. The obvious advantages of that arrangement are so great as to have induced its adoption by companies of various kinds, and the Board have had prepared resolutions for effecting the change, which, if approved by this Meeting, will require to be confirmed subsequently at another Meeting, to be specially convened for tbat purpose. JOSEPH C. EWART, Chairman. Liverpool, 15th Fbbeuaky 1859. W. C. YOUNG & CO., Agents for Otago.
