DECLARATION OF RESULT OF POSTAL BALLOT OF PREFERENCE SHAREHOLDERS. A Postal Ballot of Preference Shareholders in Associated Motorists' Petrol Company, Ltd., on the following Resolution having been duly held in accordance with the Articles of Association of the said Company: the said Resolution being as follows: — That the holders of preference shares shall be entitled out of the profits of each year to a preferential dividend for such year at the rate of £lO per centum per annum on the amount paid up on each share held by them respectively in lieu of the dividend at the rate of £8 per centum per annum referred to in Paragraph IV clause (2) of the Memorandum of Association AND THAT the rights of the preference shareholders under paragraph IV clause (3) of the Memorandum of Association under which the holder of preference shares is entitled to purchase from the Company its agents or nominee as the Directors maV from time to time decide on production of coupons or certificates or the like to be issued to him by the Company in accordance with the Articles of the Company, thirty (30) gallons of petrol per annum for each £ 1 Preference Share held by him in the capital of the Company at a price current based on actual cost of the Company including all operating, management, directorate, and overhead charges to the several retail points of delivery plus 4-Jd per gallon to include retail distribution charges or, in the event of altered conditions of trade, such higher amount per gallon as may be agreed upon by the Directors representing the preference shareholders and certified as x-easonable by the auditor for the time being appointed by the Preference Shareholders in accordance with the Articles of Association, shall be altered or varied by the cancellation of such rights."
