NOTICE IS HEREBY GIVEN that an EXTRAORDINARY GENERAL MEETING of the Dunedin Chamber of Commerce will be held at the Registered OHice of the Association, Crawford street, Dunedin, on WEDNESDAY, the 9th duy of May 18'Jl, at 3.30 o'clock in the afternoon, when the subjoined RESOLUTION will be proposed. Should the Resolution be pissed by the required majority it will be submitted for CONFIRMATION as a Special Resolution to a Second Extraordinary Meeting which will bo subsequently convened. RESOLUTION. That the Articles of Association be altered In manner following :— (a) In Articlo 8 the word" Committee "shall be substituted for the word " Chamber." (i) In Article 23 for the word "advertisement" tho following words Bhall ba substituted—vk.: "liy publishing such notice in one or more newspapers published or generally circulating in Dunedin." (c) Articles numbered 11, 16, and 3!) shall be cancelled. W) The following Article shall be substituted for Articlo 11;- , The annual subscription for each member shall be £2 2s (two guineas), or such other sum (not exceeding £3 3s) as may from time to time be fixed by the Committee; but any member elected °i? .°, r,a'' er too Ist day of January in any year shall be called upon for only one-half tho yearly subsci iption for the then current year. All annual subscriptions shall hi duo and payable in advance on the Ist day of July in each year, and all subscriptions unpaid on the Ist day of October in any year shall subject tho defaulters to reelection as ncwniembcrs : Provided that in lieu of reelection the Committee may in their discretion re-admit any former member on payment of his subscription then current, or half-year if readmitted on or after the Ist day of January. Subscriptions may be sued for and recovered by the OhamW as ordinary debts. Every member shall hold one share in the Association and no mo>e, and shall be liable for the sum of one shilling thereon. The Committee shall have power to allot a thare to any member elected aa beforo-mentioned, and Bhares shall not be transferable^ («) Tho following Article shall bo substituted for Articlo IB—viz.: Tho names of members proposed for election (by any member of the Chamber in writing) as oilicore of the Chiinber for each year shall bo set forth in a list showing tho otlices to which it is proposed they Bhall ba respectively elected, which list shall ba posted in some conspicuous place appointed by the Committee during the space of at least seven days iiiiinsdiati'ly preceding tho annual general meeting, and the persons so proposed shall alone be eligible for election. Failing a sufficient number Ixlug nominated, tho Coinmitteo shall bave powiir to nominate. If the number of candidates does not exceed the number of offices to bo filled tho chairman of the annual general meeting shall at such meeting declare such candidate or candidates to be duly elected to the oftico oi oliices to be filled at tho election then being held ; and if the number of candidates exceeds tho number of offices then to be filled, two scrutineers shall be elected at the Committed meeting next preceding tho annual meeting, who shall, at tho time and place appointed for the election, deliver to each member intending to vote the printed or written voting pipers containing the names of tho candidates for all offices to be then filled up, and the voter shall then erase from tha same the names of Ml candidates but tboso he dtsires to ba elected for-the office of President, Vice-president, Committee, and Auditor in succession—provided that any member nominated for the office of President or Vicepresident, in the event of his non-election, shall be deemed to have been nominated for the Committee—and shall then, in the presence of the scrutineers, deposit tho voting paper in the ballot box, and any voting paper containing a greater number of names than tbere are oflices to be filled Bhall not be contidered valid. The poll shall be taken aftar the minute] have been read. The scrutineers shall examine the papers and report tho names of those who have received the largest number of votes for tho several oflices. Should an equal number of votes be recorded for two or more members whose appointment would exceed the number of vacancies, tho chairman of tho annual general meeting shall decide by lot upon whom the election falls. Tho members so elected shall constitute the Provident Vice-president, Committee, and Auditor for the ensuing year, or until their successors be appointed.
