rPHE rapid increase of population, consequent upon JL the influx of people to tins Province, through the discovery of the Gold Fields, has necessarily caused the erection of a vast number of buildings, and has also increased the stocks of merchandise to a degree hitherto unparalleled in the city of Dunedin. Notwithstanding this rapid increase of valuable property—thereby causing an enormous outlay of capital —no facilities have been afforded, further than those existing previous to the discovery of the Gold Fields, so as to enable merchants and others to secure themselves against loss by fire; and it may be safely stated that the existing Insurance Offices in "Dunedin Jiave not the power to insure one-tenth of the property in this city. At the same time, owing to the crowded state of some portions of Dunedin, and the total want of proper appliances for the extinguishing of fires, great anxiety is universally felt, so much so that every person would be glad to insure, and be willing to pay such rates as must handsomely remunerate an insurance Company. Without going into statistical details, it will be patent to the minds of all observers that there is at present in Dunedin property worth immense sums of money, insured at a rate totally inconsistent with its actual value, to say nothing of the many houses uninsured, through the present Fire Agents having no power to increase the number of their policies—a result consequent upon the exhaustion of the amount of capital which the European and Australasian Companies have authorised them to invest here. Under these circumstances^ it is proposed to form a Company under the above title, for the purpose of insuring against losses by fire, with a capital of one hundred thousand pounds, in twenty thousand shares of five pounds each, power being reserved by the Act of Incorporation, to increase the amount of capital to two hundred and fifty thousand pounds, two shillings and sixpence per share, to be paid as deposit upon application for shares; and as soon as one half of the number of shares are allotted, the Act of Incorporation will be applied for. Until alter the passing of such Act, no further call will be made, and then only after due notice, at intervals of one month, and in sums not exceeding five shillings per share. The experience derived from the operations of other Insurance Companies, warrants the belief that not more than 10s. or 15s. per share will ever be required to be paid up. Judging from the unprecedented dividends declared by Companies established through the influence of Colonial Capital in Victoria, and which companies commenced operations at a period when most of the buildings insured were wooden erections, and when, no greater facilities for extinguishing fires existed there than here, it may be safely presumed that dividends equally high will be declared by the proposed Company. As an instance take the prosperity of the Victoria Fire and Marine Insurance Company in Melbourne, which has already returned its original Capital to the Shareholders, in addition to upwards of 33 per cent, per annum, by way of dividend and bonus. It is the intention of the Company when established to treat liberally with all proposals for insurance. From the foregoing statement of fatts, the Provisional Committee feel assured that there can be no doubt as to the success of the company in realizics dividends proportionate in amount to those obtained in. Victoria. Applications for shares will be received at the Company's temporary offices, Stafford Chambers, corner of Stafford and Manse-streets, Dunedin, on and after the 7th April, 1862, where forms of application may be obtained. J)\iq notice will be given of the period of the first allotment. By order, JAMES W. HA¥, Secretary
