[EXCERPT FROM CIRCULAR]. SYDNEY, October 24, 1927. TO THE SHAREHOLDERS OF THE AUSTRALIAN PROVINCIAL ASSURANCE ASSOCIATION, LTD. Circumstances have not permitted heretofore of forwarding to you, as I copies of certain apologies, and of a conjoint circular signed by the Hon. J. A. uoya (Chairman of the Defence Committee) and myself, as Chairman of the Company. Such circular indicates that friendly meetings were held subsequent to the Annual Meeting, at which all matters in dispute were amicably settled, and. this being so. . deem it mora fitting that I should refrain from circulating a copy of my a ° d " s * Annual Meeting, which dealt fully with the various matters which have been ot so mucn concern to the Shareholders in general. I feel, however, that 1 may be permitted, for your Information, to state that the voting at the Annual Meeting was as follows: — 32,343 VOTES IN FAVOUR OF MYSELF, AS CHAIRMAN, AND THE PRESENT BOARD (REPRESENTING 404,258 SHARES). 14,459 VOTES IN FAVOUR OF THE DEFENCE COMMITTEE, REPRESENTING 167,747 SHARES. Dr. Thelander, of Brisbane, was unanimously appointed at the Annual Meeting to the vacancy on the Board, in place of Mr. Northam, the retiring Director, who did not seek re-election. A* promised in the Annual Report, an extract from Mr. Latham's investigation as Special Actuary retained by the Association to report on the Company s financial position as regards the security of the Policyholders, was duly carried out, ar *d an extract of his report is enclosed herewith. Shareholders' attention is directed to his recommendations, which the Board is adopting. Dr Thompson being absent in England, no apology has, as yet, been obtained from him in respect of the circular cabled to Australia, and dated 7th July, 1927, issued by Mr. Julian Brook, whose statement is appended hereto. The Shareholders' special attention is also directed to the conjoint circular signed by myself as Chairman of the Company and by the Hon J. A. Boyd as Chairman of tha Defence Committee, strongly urging and advising that. In view of all differences having now eased, the Shareholders should not sell their shares at the present time. EDMUND S. PAUL, Chairman of Directors. CONJOINT CIRCULAR OF THE CHAIRMAN (EDMUND S. PAUL) AND THE CHAIRMAN OF THE DEFENCE COMMITTEE (THE HON J. A. BOYD). TO THE SHAREHOLDERS OF THE A.P.A.— At the Annual Meeting, held on August 4th inst.. Mr. Paul, the Chairman of Directors, gave a comprehensive review of the whole position, which was fully discussed. Tho opinion was the,n freely expressed that the interests of both Shareholders and Policyholders would best be served by the opposing groups of Shareholders getting together and giving Mr. Paul, as Chairman of Directors, their support. This was manifested by the fact that Mr. Paul held proxies representing approximately 32,000 vtStes, and the Defence Committee proxies representing approximately 14,500 votes. Aa an outcome of. the Meeting, a Conference was held between Mr. Paul and Senator Mitten (representing the Board of Directors) and the Hon. J. A. Boyd and Mr. Lyons (representing the Defence Committee) to discuss how, in the best interests of the Shareholders and Policyholders, the outstanding differences between all parties could be settled. The Conference had in mind that the interests of the Company should be paramount, and we are glad to say that a settlement was arrived at, which we believe will put new life into the A.P.A. and restore public confidence in a Company which, with its present assets, only requires good management to place and keep it among the. leading Life Offices of Australia and New Zealand. It has been agreed that all legal proceedings shall be discontinued, and the Defence Committee have promised Mr. Paul their support. Mr. Paul, on the other hand, agrees with the Defence Committee that, as opportunity occurs, the Directorate shall be strengthened, and, for this purpose, a motion was carried at tho Annual Meeting increasing the number of Directors from four to five, which will enable the present Board to appoint another Director of business ability. So confident are we as to the future prospects of the Company that we strongly urge the Shareholders not to sell their shares at the present time. We feel sure that when the reconstructive work now being undertaken by the Board is carried to fruition the Company's position will be greatly strengthened, and not until then will the Company be listed on the Stock Exchange, and until so listed the Shareholders will be well advised not to deal with their shares.
