MeetingsrPHE SOUTH BRITISH FIRE AND MARINE 1 INSURANCE COMPANY OF NEW ZEALAND. . • Notice is hereby given that the Ordinary General Meeting of the Shareholders of the above Company will be held at the Head Office of the Company, Queen-street, Auckland, on WEDNESDAY, the 12th day 01 October, 1904, at eleven o'clock in the forenoon. BUSINESS: To receive the Report and Balance-sheet for the year ended 31st August, 1904. To elect two Directors, in place of John Bdoon, Esq.. and John Batger, Esq., who retire in accordance with the Articles of Association, bat are eligible, and offer themselves for re-elec-tion. To elect two Auditors, in place of C 4. S. Kissling. Esq., and W. B. A. Morrison, Esq., who offer themselves for re-elec-tion. Aa soon as such business is concluded the Meeting: will resolve itself into an Extraordinary General Meeting for the purpose of considering, and, if approved, of passing the following three resolutions, which are intended to '■-;> proposed to the Meeting as separate and distinct resolutions: — Resolution No. 1. (a) "Thait of the Authorised Capital of the Company, there shall be disposed of, in manner herinafter specified, the shares in the said Company on-issued ■ amounting to 35,372.' (b) " Each Shareholder whose name shall appear on the Company's Register on the 12th day of October, 1904, shall be entitled to have issued to him one share for every two shares held by him on that date; that the shares so issued, numbering in ail 32,314, shall each be credited with £1 paid-up, and the Profit trad Loss Account shall be debited with the sum of £32,314. (c) " Any shareholder who holds less than two shares, or whose holding does not form a multiple of two, shall on payment of £2 be entitled to have issued to him one of the unalloted shares paid up to £1; the sum of £2 received for such share shall bo disposed ol by placing £1 to the credit of the paid-up Capital, Account and £1 to the credit of the Reserve Fund Account; or, in lieu of one such share, th« Shareholder may at Ms option receive from the Company the stun of £2 ir money, which sum shall be debited tc the Profit and Loss Account, providec always that either option shall be exercised on or before the 30th Janu ary, 1905. (d) " Any of the said Shares not disposed of aa above shall be disposed of bj the Directors, who shall invito tender: for the same from the Shareholders subject to such conditions as they inaj think fit, and the shares shall bo al lotted to the Shareholders who offe: the highest price for the same, ant the premium received therefor shal be placed to the credit of the Reserv* Fund Account. (e) " All the aforesaid unissued share; when issued in the manner hereinbefon set forth shall rank pari passu witl the existing shares, and shall partici pate equally in all future Dividends o the Company. , (f) " Any authority heretofore given to th< Directors by the said Company as t< the disposal of the said tuiissaed share not hitherto acted upon is hereby can celled." \ Resolution No. 2. " That Article 20 of the Articles of Atsoeia J tion of the Company be cancelled." Resolution No. 3 " That Article 91 of the Articles of Assoeia tion of the said Company shall b altered by striking out and cancelling the words 'of not exceeding twent; pounds per centum per annum' betwee: > the word ' dividend' and the won 'upon' in the said Article."
