The following is the text of a circular which has been issued to shareholders in the Whangamata Gold Corporation (Limited), by Mr. A. H. Curtis, attorney for the company in New Zealand : —

" I am instructed by directors in London to inform you that the negotiations with the London and New Zealand Exploration Company (Limited), which have been going on for some months, have resulted in the following arrangement : A new company is to be registered with a capital of £150.000, divided into 160.000 shares of £1 each ; 40.000 of these shares will be for working capital, 20.000 of which will be subscribed for in cash, and 20.000 held in reserve. The remaining 110,000 shares to be issued as fully paid, and the shareholders in the present company to receive an allotment in the new company of one fully-paid share for every three shares standing in their names on the present register. A general meeting was to be called in January, when full reports and accounts were to be submitted, and the shareholders asked to confirm the above arrangement, which the directors think is, under the circumstances', as favourable a* could be hoped for."'
