PROSPECTUS: The Directors of this Company have succeeded in purchasing the Freehold of two Valuable Tracts of Land in the Wharekawa District, Province of Auckland. The extent of the property is 12,350 acres or lOgth square miles, and, as will be from Plan, its lower extremity extend to within Si miles of Pukorokoro (a navigable creek on the Frith of Thames) opposite the Ooldfields and Townships of Shortland, Graliamstown, Hastings, and Coromandel, being distant from the two first-mentioned towns only about ten miles. The Company has for its object the developing to the greatest possible advantage the Coal and other Minerals known to exi*t thereon, as also the construction and using of a Rail or Tramway in the vicinity thereof. COAL. The very valuable seam, cropping out in the crock at the Surrey Redoubt, has been proved to be 10 feet in thickness, and Ims been traced for a considerable distance through the property, and from its position can be easily and economically worked, and the supply is limited only by the demand. A small parcel was forwarded to the " Hauralii" Battery, Graliamstown, to be tested, and the report of the engineer is appended.

The consumption of Coal for quartz-exushing machinery, and other purposes, in the Province of Auckland, at present amounts to about 100,000 tons yearly, and is largely on the increase owing to the continued erection of frt-sh quartz-criishing batteries, steam communication, projected railways throughout the Province, as, also, its rapidly increasing populations. This Company, from the close proximity of tlieir property to the markets, will be able to supply coal at a very low figure, and may, therefore, reasonably calculate on obtaining a fair share of the tmde of the Thames District, as well as of the Auckland and coasting trail*;, besides which they will have the great advantage of having a large market of skilled mining labour close at lmnd. Report of tho Engineer nf the llauraki at Graliamstown, on Sample of Wharekawa (Surface) Coal, 11th February, 1670: -"Nine cwt. Coal, hours jood steam for batter}*, 7 head stampers. A better Coal than Whangarei; no sulphur; no clinkers ; burns quick and tierce." J. Lowe, C.E., reports as follows : — I:\TKNT: "1 am fully convinced that the Coal extends over most of the Company's ground, and that at least 7,000 to S,OOO acres will be. a good workable Coalfield. From the appearance of the easy dip of the Coal Seam at the outcrop (although not opened out sutHciently to arrive at a correct estimate of the greatest depth at which it will he found), and from past experience of Coalfields in Lancashire, Cheshire, Derbyshire awl Staffordshire, in England, during apciod of about thirty years, I consider that the Coal should not be very deep, even in the centre of the Rasin. QUALITY : "The Coal is very gu«'d at the outcrop, being much better than I expected at the surface, aud will, no doubt, improve in quality and thickness as it goes down. The s>*ain at the point from which the present sample is taken is about ten feet thick. It is more than usually strong and compact at the outcrop, and in comparison with the Kawakawa Coal is much superior to it, as taken from the present workings at a depth of one hundred and twenty-eight feet. The Coal is similar to the Wishaw Coal of Scotland, and the Glanzohlo of Germany, and conttins about }.eventy-live per cent, of combustible matter. The amount of Sulphur contained in this Coal being very small makes it very suitable for Smelting and Kngine purposes, and it will also be useful as a good household Coal. ip.onsto.vr : "Ironstone has been found on tho surface, and from tests yields about f»0 per cent, of Iron, and there can scarcely be a doubt but that Ironband will be found overlapping the Coal measures. Li.UKSToj.i-:: "Limestone is found on the surface of the lUock, and is apparently in large quantities. A valuable flux for Iron is thus at hand, and it will be also available for building and agricultuial purposes. "The lUock is well timbered with Kauri, Totara, and other us. ful Forest Trees extending to some hundreds of acres. QUALITY OF LAND: " The Land, except where marked on the Plan as hilly, is of fair average quality, aud will be available for agricultural purposes. The swampy parts being easily drained will form the richest portions. FLAX : " There is an extensive Flax field on the ground. The Flax is of the finest quality. WATKK POWER: "The Mangatangi (a valuable stream) runs across the Company's land, having a considerable declivity, and I estimate that in the dry season there is a body of water flowing of about fifteen millions of gallons per diem. (Signed) " John Lowe, C.E. Aftei careful calculations, the Directors are fully assured that the coal from this mine can be delivered at the Thames for 12s. or 13s. per ton, whereas the market value wilt be at least .£1 per ton. The Government main line of road and telegraph wires run the entire length of the property, and the latter is now completed as far as Pukorokoro 'proposed site of the Miranda Township), and across the Frith of Thames to the goldfields. RAILWAY. The Company purposes to construct a Railway ' from the coal mine to the landing-place at Miranda , (Pukorokoro, opposite to Graliamstown,) for the conveyance of their coal to the shipping. This Kail or Tramwav has been accurately surveyed, and iound to be nine mUes in length, without any serious engineerng dillicultios to contend vrith. Ry the extension of this line about nine miles further to Mercer, or live to the waters of the Waikato. would open up one of the finest districts in the North Island of New Zealand, the farm produce and local industries made available, and brought into direct communication with two great centres of popuation in the province, viz., Auckland and Grabamso\rn and the Thames and Coromandel Goldfields. general. The Directors eventually purpose laying out about <j,OOO acrcs-not required for coal, timber, or flax—in ;unall farms, in order to encourage bona fide settlement on the laud; and, apart from the carriage of their own coal and timber, the Directors fairly anticipate a considerable traffic from their own and the surrounding settlers. The Companv also purpose to lay out a Township at the mines, which will form a terminus and depot, and which will be laid oil in allotments and offered to public competition, the Company retaining all Minerals and rights to mine throughout the property. Tho Directors believing that large profits will arise from the development of this Estate, have privately taken up Shares to the value of £25.000. Prospectuses, Reports from Alining and other Engineers, with estimated cost of Kailway, inc., together with forms of applications for Shares, and any further information required, can be procured on application to the General Manager, at the Company's uftice, Vaile's Buildings, Auckland. Where no allotment is made, the deposits will be returned in full, and in some cases where a smaller number of Shares is allotted than applied for, the extra deposit money will be appropriated towards the sum dae on allotment.
