R FLES or the AUCKLAND PERMANENT BUILDING AND INVESTMENT SOCIETY. * Name of the Society. 1. That this Society shall be called the " Auckland Permanent Building and Investment Society and that the meetings thereof shall be lield at the office of Mr. E. J. Cox, Solicitor, Queen-street, Auckland, or at such other place us the Board may from time to time determine upon. Objects. 2. The objects of this Society shall be, to raise n fund, bv monthly subscriptions, for the purpose of advancing to auv member the amount of his share or shares, to enable him to erect or purchase a dwelling house or houses, a shop or shops, laud or other real or leasehold estate, or to pay oil'any mortgage on such property, to be secured to the Society bv wav of conveyance or mortgage, until the amount or value of the shares so advanced, -with the interest thereon, and all fines and other payments incurred in respect thereof, shall have been fully repaid. Members. 3. Every person subscribing for one or more shares, or who borrows money on mortgage security from the Society shall be a member thereof. Each member on entering the Society shall Jtate his or her name, place of abode and occupation, which shall be entered in a register kept by the Secretary ; and upon changing his or her residence, shall give notice thereof within one month afterwards, or be fined one shilling. Notices. 4. Every notice to a member may be served by being left at his place of abode as described on the register, or addressed to him there, and sent by post (postage paid). Trustees. •>• The society shall from time to time elect and appoint not less than three persons to be trustees of the society, who shall be ex officio members of the hoard. The property of the society, and all titles, deeds, and securities for monies, shall be vested in the trustees for the time being; but no trustee, director, or other officer of the society shall be responsible for, or liable to make good, any deficiency which may arise in the funds of the society, otherwise than by reason of his own wilful neglect or default; but every such officer shall be answerable for the money or property actually received by him on account of the society, until he shall have disposed of the same in accordance with these rules. The trustees shall, if required by the board, execute a deed of trust, and upon any change of trustee or trustees it shall be sufficient for the new trustee or trustees to endorse and sign a declaration on the original trust deed that he or they accept the trusts, and thereupon every trustee so signing- such declaration shall stand and be in the same position as though his name had been inserted in the original deed, and he had been a party thereto. Directors. 6. The business of this society shall bo conducted under the direction of a president and board of directors, not exceeding twelve in number. They shall meet once in each month Cor oftener if necessary), for the transaction of bu£,iness ; five to form a quorum. They shall be paid 2s. Cd. each for their attendance at all meetings. If any director is absent (without sufficient reason l'or such absence being sent) half-an-hour after the time appointed for such meeting, he ;>hal). be fined sixpence; and if not present at all, one shilling. Each adult male member of the society shall be eligible to be a director. The directors shall bo elected at a general meeting of the members. One-third in number of the directors shall retire annually, and the vacancies shall be supplied by the members at the annual general meeting. The retiring directors shall be eligible for re-election. The names of those retiring for the first two years shall be selected by lot, under the direction of the hoard, and afterwards the order of retirement shall be determined by rotation. The board is empowered from time to time to appoint and remove the bankers to the society, and the treasurer. That no member of the board nor trustee, shall be allowed to vote on any question at a meeting of the board in which he is personally interested : nor shall he bo allowed to bo present 'hiring the discussion of any siuh question. Neither minors nor 1.-irialcs shall be eligible to serve in any office of this society, but they shall be entitled to vole as members. All title deeds and securities for monies shall, immediately alter the receipt thereof, he placed for safe custody in a box to be kept for that purpose, in the name of the trustees, at the bankers ot the society, or such other place as the board may direct 1 his box shall have three locks and three keys ; one key to be kept by one of the trustees, and one by the treasurer, and the ether by the secretary to the society. The trustees shidl have the power of examining the society's books, and of attending all meetings of the committee, and of giving their opinion on all questions under discussion, and such of tho trustees as are investing members shall be entitled to vote therein. in the event of three vacancies occurring in the board of directors, such vacancies shall be filled up at the next meeting oi the Hoard; and directors so appointed shall hold ofhee until the next yearly meeting.
