The objects _wifch which this Company is projected are "to 'purchase, continue, and extend the 'businesses of Messrs J. and H. Ba.ber.'ana Woods, Crosbie,,aod Co., which have been so successfully carried on for many years. past, consisting of six retail shops, meat preserving and boiling-down plr-no Complete, paddock's, yards, horse's, carts, and all the appliances necessary for conducting the extensive business-which now exists. A schedule of the various properties vsed m the business is appended at foot, and .the values having been ascertained by a competent independent valuator, and approved by the Provisional Director*, it is proposed to take them over at the >urn of L 18.789 6s vide Schedule A, of which the proprietors will Tetain' in paid-up shares the^ sum of Ll2 000, leaving the balance to be paid out of calls, and to bear interest at the rate qf 8 percent per annum ; the payment to extend over a maximum period of five years, or to be reduced; by instalments ot not less than LJOOO each,' at any earlier date, at the pptiou of the Company. All book debts will be taken over as they now stand m tbe books, and they will be guaranteed at 20s m the pound by the vendors. Live stock, tallow, horses, carls, and several smaller properties not already valued, vide Schedule B, will bo taken at; a valuation on delivery; but all other articles and property of whet kind soever will be deemed to be included m the valuation estimate of L 18.789 ss. The Oompauy will be registered a9 soon as L 25,000 bas been -i-bseribed for; m addition to the paid-up shares to be retained -by the Vendors, and tbe shareholders will then be called together to elect a permanent Board and adopt Articles of AssociaiiOQ. rOh the Registration of 'the Company, Messrs Barber -will at their own cost con tinne>and 'complete the erect-on of a new 'slaughter. house ' at Ngahauranga, and will remove there, from its present position m Willis-street, the whole of their meat preserving macoinery anu plant., . * ■ ■ ' It -is intended to take power m the Memorandum of Association to enter upon the business of freezing meat for expoit, or io amalgamate with any other Company, or to purchase i any business established for that purpose, and to manufacture artificial ma : nmes or Other products which may be considered legitimate adjuncts to the busiuess ; but for the present, at least, it is. deemed prudent tor est I ' satisfied with the known profits 'of the businesses as the; stand, wuhout embaiking m moie speculative ventures, and it-is evident that the combination of the two establishments under one management must result-in inoieased profits and laigely diminished expenses. . 'The combined businesses show a net profit el over ' 15 *per cent, and it is confidently expected''' that when conducted under one head, this may be considerably exceeded. ■. , Tbe success which has attended the Gear Meat Company since its establishment as a public. Company, shows conclusively such businesses are more systematically and advantageously woiked and extended m this way than by private enterp. ise ; aud it is for this reason that i Messrs' Barber, and Woods, Crosbie and Company are willing to sell -their lespective business to a Company while still retaining a very large interest tbemselve . ; .and ihey have agreed to place tb^ir'ser vives at the disposal of the Corooany for such time as the Directors mny require, and not to engage m any businesses m competition with this Company. The resources of the WePington district, m tbe way of sheep and caifcle, are so large and increasing, and 'the demand for preserved meats m England and elsewhere so much m excess of the suooly, that a business of this kind is capaole of almost iofinite extension, ' and. presents to capitalists toe oppoitunity of a safe and profitable investment, whilst to stockowners ifc affords the menus of securing a fair value for their produce.. TJie Provisional Directors have given their caref I consideration to the Proposed Company, and have luad submitted to Hem oy tnsir own valuator the de ailed val> ■- tions of the various properties obekaked over. They Hcl theyca^ with confidence reconmend this undertaking to tliePvb'ic asor.e which ia entered upon on afuv. basis, and, which promises to yield a hdndso.tie return on the capital invested, as well as by the extension of tie business adding io the material prosperity of tiie City ond the siockowners of fhe surroun^ivg districts.
