Barber and Woods, Crosbie, and Co.,vwhifch hate been so successfully carried on for many years past, consisting of six retail shops, meat preserving and boiling-down plant complete, paddooks, yards,' hdr*Bes,"carts f and all. the appliances necessary for conducting the extensive business which now exists. < , A schedule of the various properties used m the business' is appended at foot, and the values having been ascertained by a competent independent valuator, and approved by tbe Provisional Director*, It is proposed to take them over at the bum of L 18.789 5s vide Schedule A, of which the proprietor* will retain m paid-up shares the sum of Ll2 000, leaving the balauce to.be<paid out of oalls, and to bear interest at the rate of 8 per cent per annum ; the payment to extend over a maximum period of five years, or to be reduced by instalments of not less than LJOOO each, at any earlier date, at the option of the Company. ! All book debts will be taken over as they now stand m the books, and they will be guaranteed at 20s m the pound by the vendors. On the Registration - of the Company, Messrs Barber will at their own cost con tinue and complete thp erection of a new slaughter. bouse at Ngahauranga, and will remove there, from its present position m Willis-street, the whole of their meat preserving machinery and plant. It is intended to take power m the Memorandum of Association to enter upon the business of freezing meat for export, or to amalgamate with any other Company, or to purchase any business: established for that x purpose, and to manufacture .artificial manures or other products which may be considered legitimate adjuncts to tbe busiuess : but for the present, at least, it is deemed prudent to reaL satisfied with the known profits of the businesses as the} staud, .without embarking m more speculative ventures, and it is evident that the combination of the two establishments under one management musi result m increased profivs and largely diminished expenses. '• '' The combined businesses show a net profit ef over 15 per cent, and it is confidently expected that when conducted under one head, this may be considerably; exceeded. . . Tbe success which has attended the, Gear Meat Company' since its establishmen t as a public Company, sbbwa' conclufively that such busiuesses are more systematically and advantageously worked and extended iv this way than by. private enterprise; and it is for this reason that Messrs Barber, and Woods, Crosbie and Company are wilting to sell their respective business to a Company while still retaining a very large interest themselve ;and they have agreed to place their services at the d'.iposal of the Company for such time as the Directors may require, and not to engage m any businesses m competition with this Compauy, The resources of the Wellington district, m the way 6? sheep and cattle, are so large and increasing, and the demand for* 'preserved meats m England and elsewhere so much m excess of the supply, that a business o£ this kind is capable of almost infinite extension, and presents to capitalists the opportunity of a safe and profitable investment, whilst to stockowners it affords the means of securing a fair value for their produce. s » The Provisional Directors '"■ Titike given their careftd consideration to the Proposed Company, and have had submitted to them oy their own valuator the detailed valuations of tits various properties ohe taken over.
