Barber, and Woods, Crosbie, and Co., which have been so successfully carried on for many years past, .consisting of six retail shops, meat preserving and boiling-dawn plpnt oomplete, paddocks, yards, horses, carts, and all the appliances necessary for conducting the extensive b_nness which now exists. A schedule of the various properties used m the business is appended at fool, and the values having been "ascertained by a competent independent valuator, and approved by the Provisional Director*, it is proposed to take them over at the sum of L 18.789 5s vide Schedule A, of which the proprietor? will retain m paid-up shares the sum of Ll2 000, leaving the balauce to be paid out of calls, and to bear interest at the rate of 8 per cent per annum • the - payment to eite'nd over a maximum period of five years, or to be reduced by instalments of not less than U 000 each, at any earlier date, at the option of the Company.. AH book debts will be taken over as they now stand m the books, and they will be' guaranteed at -20s m the pound by the vendors. Live stock, tallow, borses, carts, and several smaller properties not\ already valued, vide Schedule B, will be taken at a valuation on delivery: but all other articles and property of what kind soever 'will be deemed to be included m the valuation estimate of L 18 ,789 ss. The Company will be registered as soon as L 25.000 has been subscribed for, m addition to the paid-up shares to be retained by the Vendors, aud.the shareholders will then be called together to elect a permanent Board and adopt Articles of Association. On the Registration of the Company, Messrs Barber will at their own cost con tinne and complete the erection of a new slaughter. house at Ngahauraoga, and will ' remove there, from ils. present position m Willis-street, the" whole of their meat preserving macuineiy and plant It is intended to take power m the Memorandum of Association to enter upon the business of freezing meat for export, or to amalgamate with any' other Company, or to purchase any business established for that purpose, and to manufacture aitificial manures or other products which may be considered legitimate adjuncts* to the business : but for the present, at least, it is deemed prudent to rest satisfied with the known profits of the businesses as the; staud, without embarking m more speculative ventures, and it is evident that the combination of the two establishments under one management musl result m increased profits and largely diminished expenses.The combined businesses show a net profit ef over 15 per cent, and it is confidently expected that when conducted under one head, this may be considerably' exceeded. The success which has attended the Gear . Meat Company since its establishment as a public Company, shows conclusively thatsuch busioesses are more systematically and advantageously . worked and extended m thiß way than by private entcrpiise; -and'it la for this reason that Messrs Barber, and Woods, Crosbie and Company are willing to sell their lespective business to a Company • while still retaining a very large interest ther_Belvo ;and they have agreed to place' their services at the disposal of the Company for such time as the Direityrß itiuy require, and not to engage m auy businesses m competition with this Company/ The resources of the WeMington district, m the way of sheep and cattle, are so large and increasing, and the demand for preserved meats m England and elsewhere so much m excess of the supply, that a business of this kind is capable pf almost infinite extension, and presents to capitalists tbe opportunity of a safe and profitable investment, whilst to stockdwoers it affords the means of securing a fair value for their produce. The Provisional. Directors have given their carefd consideration to the Proposed Company, and have had submitted to them by their own valuator the detailed valuations of the various properties obe taken over.
