Terms : 2s. 6d. per share on application ; ' 7s. 6d. per share on allotment ; and the balance in calls not exceeding 10s. ! per share at intervals of not less than two months. j The company is SormeS. for the purpose of purchasing and continuing as a going concern the Egmont Steam Saw, Moulding, and Planing Mills, and Sash and Door Factory, and for purchasing • or otherwise acquiring or disposing of lands, buildings, easements, plant and machinery, for extending such business, and generally the doing all things directly or indirectly incident to the above objects, or any of them, or conducive to carrying the same into effect. Messrs. Davies, Richards, and Hopwood have entered into an agreement to sell all their right, title, and interest in the Egmont Steam Saw Mill for £1800, and Stock at present on hand, which is considered to be about £300, to be valued by both sides, and the sum found by such valuation to be added to the sum of £1800. The present proprietors agree to take in payment £800 in fully paid up shares, £400 to be paid in cash on floating company, and agree to allow the payment of the balance to extend over a period of twelve months without interest. The company will take a transfer of the whole business with working plant now in and upon the premises, which consists of four sections (about one acre) of land situated in Princes-street, with factory erected tliez'eon j one first-class engine and boiler complete, and ten machines, together with a lot of sundry tools, &c. The plant is in thorough working order, and has been carefully inspected by a committee and by practical engineers, and is put down at a very low estimate ; in fact, it is believed a similar plant could not be placed in position for the same money. The provisional directors have givat confidence in bringing this enterprise before the public. As a commercial speculation, factories of this kind have been most successful in other parts of the colony, particularly the Union Sash and Door Company, Auckland, which has just declared a dividend of 20 per cent, on their subscribed capital ; and the provisional directors have evevy reason to Jjelieve that there will be a large profit in the working of this company. The reason for the present proprietors selling at such a low figure is that they wish to dissolve partnership ; and they feel that the want of more capital retards a very lucrative business, and by disposing of the plant to a company they can and will take up shares, and retain an interest in the business. The most important object of the company will be to encourage labor and retain capital within the district, combined with securing a good dividend to shareholders. To the capitalist, or man of small means, tradesman, or property holder, the company offers what is considered a sure and safe investment, with a certain dividend from the day of its registration, because it enters at once upon a profitable business. It also helps to enlarge and develop a local industry, giving employment to a considerable number of resident work people, and as every penny of the money will be spent in the district, the value of the undertaking must be admitted by all. Two saw-mill owners in the vicinity having such great confidence in the successful issue of the company, have voluntarily placed their mills at the disposal of the Company at advantageous prices, and have offered to take the amonnt in sLares ; but at present neither offer is proposed to be accepted, as the provisional dii'ectors have every reason to believe the company can be floated and profitably worked without additional mills. Nolan, Tonks, & Co., Hawera; Mr. C. E. Gibson, Normanby; Mr. G. A. Hurley, Manaia; Mr. W. Cowern, Patea; and Mr. P. Galvin, Opunake. In the event of no allotment being made, after payment of expenses, the deposit money will be returned and in the event of there being application for more shares than can be allotted, the shares will be distributed pro rata.
