XTOTICE IS HEREBY GIVEN that the -1-" Fifty-seventh Annual General Meeting of Shareholders will be held in the Chamber of • Commerce Rooms,'"The Dominion" Building, Wakefield Street, Wellington, on THURSDAY, FEBRUARY 23, at 2.30 p.m. BUSINESS: (1) To/consider Directors' Report and Balance-sheet. (2) To declare a Dividend. (3) To Elect two Directors. (4) To Elect Auditors. (5) To' Pass the' following Special Resolutions, viz.:— (a) That, in accordance with Article 63, the word "six" be deleted from Article 5L of the Company's Articles of Association, and that the words "not more than six nor less than four" be inserted in place thereof. (This enabling the .Board of Directors to be reduced to four should that be considered advisable.) (b) That tho words "five «hillings" be deleted from Article 2, and that the words "one shilling" be inserted in place thereof. (The"minimum call that can be made at present is 5s per share; power is desired to reduce this minimum to Is per share.) (c) That Article 11 be deleted and the •following Article,; inserted in its place, viz.: There shall be paid in respect of • the ' Transfer of any Bhares in the Company 'the sum of two shillings and sixpence. (This brings the Company into line with present-day general practice in regard to share transfers.) (6) General. A full attendance, of Shareholders is particularly requested. ,H. W.
