For the purpose of acquiring from the Vendors : (aVTho Danncvirko Gasworks, the land upon which tho works aro erected, the Manager's house and the land upon which it 13 erected, the pipe?, niters, find other fixtures laid and uccd in connection therewith, the concessions held by the Vendors from the Dannovirko Borough Council, all the machinery, engines, tools, material, plant, appliances, and chattels nov/ used in connection with the said works. * (b) Their stock of coal, chandeliers, gaseliers, stoves, gas stoves, fire grates, gaa globes, gas pipes, gas fittingo, ( and meters (hereinafter called the "Btock-in-irvio"). 2. Fcr tha ether purposes mentioned in the Memorandum cf Association of the proposed Company. The purchase money for the said concessions, rights, property, machinery, engines, tools, material, plant, appliances, and chattels is £20,000, plus the actual cost prico to the Vendors of the stock-in-trade. Tho Deed of Concession from tho Dannevirke Borough Council is dated tho 29th day of March, 1905, and is made between tho Corporation cf tho Mayor, Councillors and Burgessss of -the ,Borough of Dannovirko of tho one part, and the said Horace William Gourlcy Henderson of tho other part, the benefit whereof is by Agreement dated tho 28th day of December, 1905, to bo assigned by him to the Vendors. A Contract has been mado between tho Vendors of tho ono part and Robert Orr, as Trusteo for the proposed Company, of the other part, for tha salo to tho Company of the said concessions, rights, property, machinery, engines, tools, material, plaut, appliances, and chattels for the sum of £20,000, plus the actual cost, price to the Vendors of tho stock-in-trade (payment for which is to bo made in six equal payments, extending over sis months, without interest), and isdated tho" eighth, day of April, 1907, \ / The above-mentioned Contracts may bo inspected at the offices of the Solicitors to the Company, Messrs. Travers, Russell and Campbell, 15, Featherston Street, Wel'ington, during business hours. Tke Auditors will be appointed at the first Annual General Meeting of the Company. The first General Meeting cf Shareholders will be held not less than one month or more than three months from the time tke Ccmpany becomes entitled to commence business, at which meeting permanent Directors will be elected. No shares aro intended to bo issued as fuUy or partly paid-up otherwise than in cash, nor with any preferential, deferred, qualified, special, or limited rights, privileges, or conditions attaching thereto. Tho minimum subscription on which the Directors may proceed to allotment is 5000 shares. Tho minimum number of shares intended to be Sxcd by the Articles of Association as the qualification of a Director it fifty shares. Tho Articles of Association of the Company will provide that the remuneration of the Directors for their services shall bo such sums as tho shareholders of the Company Bhall from time to time determine. Spocial attention of intending investors is called to the fact that all expense's of brokerage, advertising, and other cxpon&os of floating tho Company will be borne by the Vendors. Tho Company will not, therefore, be saddled with any preliminary expenses. Applications for chares must be mado to tho Brokers, Messrs. Harcourt and Co., Wellington, the various Brokers in the chi^f cities of the Colony, or tp the Bank of Nov/ Zealand and its agents throughout the Colony. The works were originally constructed in IS9B for Water Gas, but havo just been converted into a Coal Gas plant, and consist of: — Brick retort house, tworegenerativo retort settings, exhauster, patent v/asher, condensers, purifiers, steam boiler, two gasholders, tar well, station meter, and Manager's residence, also tho usual working toob, pressure gauges, and other necessary appliances. The position of the works is in Denmark Street, with an approach from High Street, which is the main street of Dannevirko. It iri close to tho Railway Station, and is well chosen; tho land is ample, consisting of la. lr, 25p., exclusive of the land on wfiich tho Manager's house is erected. Tho works are quite new, and arc erected in & most substantial and suitable manner on the most modern principle, ar.d include all recent improvements to Work economically and sare labour. Mr. 11. Birch, M.1.G.E., Engineer of the AVcllington Gasworks, in his report, dated 9th July, 1906, stated:— "Roviowing tho plant recently completed, you havo now in action a fine works equal to, if not superior to, any Gasworks of a similar capacity in the Colony. Tho site, which comprises nearly 1£ acres of land, is close to the burinoss ccptre, and a short distanco from the Wcllington-Nrpier Railway. Tho retort houso is substantially built of brick, 36ft Oin x 30ft, insido measurement, and contains two settings of retorts. Tho retorts are 22in x lOin section, five to oach sotting. The construction of tho retort bench ia ia accordance with the latest modern sybtcm, regenerative firing being adopted, by which heats of high temperature nre easily and evenly maintained, wilh economy cf fuel. The rolfart bench is complete with all the usual accessories, the fittings being of the best description, including a patent seal regulating valvo attached tq tho hydraulic main. Ample room is provided in tho rotorfc house to admit of tho erection, of a third sotting whenever required — the spaco at present being utilised for coal storage. The foul main, of 6in diameter pipco, is attached to and led round tho retort house to tha exhauster house, and thero connected to a Korting's steam jet oxhaustor; tho gas also passes through Livisey's patont wathor, which removes a portion of the impurities. Tho condensers consist of & ver^cal pipe condenser, augmented by four square tanks having 6in connections. The purifiers aro three in number, Sft square, and thoro is also a purifier dry centro valvo. Tho plant is so arranged that as the business increases additions can readily bo added. *- "Tho gasholders aro two in number, No. 1 having a capacity of 10,000 cubic feet. No. 2, which was recontly constructed, is a spiral guided holder with ajstorago of 21,000 cubic feet. Both holders are in perfect condition." Tho prices allowed by tho concession from the Borough and now chargediare: — 12s Cd per 1000 cubic feet for gas used for lighting purposes, and 10s per 1000_ cubic feet for ga3 used for power, cooking and heating purposes, subject to a discount of 2a Gd per 1000 cubic feet, if paid before tho 10th of tho month. Tho Borough has a discount of 2J5 per cent, off tho net prico charged to tho public. The olroets of Dannovirkc aro now lighted with gas, as ara also ths Railway Station and all the principal buildings and places of business and hoteln. Dannovirkc is a most progressive town, and must eventually contain a largo population ; at present it contains nearly 4000 peoplo. It io tho centre of a large area of rich agricultural and pastoral country. In no part of the Colony is settlement moro 'rapidly proccoding than in tho surrounding district. Tho recent census returns show that Dannevirke has mado the zxohmous inchease of ovee 50 tee cent, in its population r.incc tho census of 1001, and is 3till rapidly increasing. A3 investments, Gas Companios havo been amongst the surest and most profitable in the Colonies. The avcrago dividends paid in these Companies last year equalled eleven per cent. In addition to thoso large* dividends, extensive rescrvo fund 3 havo boon formed amounting to no less than £234,277. In addition to supplying tho public with gag, tho Company nro now doing a very profitable business in selling ceal, and there is a good demand for coke and tar. Since the conversion from water to coal gas the number of gas consumers has largely increased, and is still increasing. There is every reason to expect that the Compr.uy will attain similar success to tho Companies above-named, the works now being of the most up-to-date description and in first-clans working order.
