This Company is formed for the purpose of completing the constrnction of a Railway from Wellington to the Manawatu, to join the Foxton and New Plymouth Railway. The Government have agreed to recommend to Parliament that certain works constructed by them between Wellington and Johnsonville, along the course of the proposed line, with the land which they had acquired for the purposes of the line, the materials for a bridge over the Porirna Harbor, and a quantity of rolling stock appropriated to this Railway, with certain other valuable concessions, including land that may be reclaimed from the Wellington Harbor in the progress of the Railway works, should be granted to the Company, upon their giving a proper guarantee for the completion of the work. They have also undertaken to supply the Company with the necessary surveys and estimates of cost, free of charge. From a preliminary examination of the country through which the line will pass, it has been estimated that the maximum cost of construction and of the requisite rolling stock will not exceed .£SOOO per mile, and, therefore, taking into consideration the value of the concessions promised by the Government, the Promoters believe that not more than _£350,000 of capital will be required to be called up. It is proposed to raise at least .£50,000 of the capital within the colony, payable as follows : 2s 6d per share on application, 2s 6d per share on allotment, and the residue by calls not exceeding five shillings per share at intervals of not less than three months. The country which will at once be brought into direot communication with the city and harbour of Wellington by this line of railway exceeds 4,500,000 acres in extent, comprising the Porirna and Horokiwi districts, the large and valuable tracts of land between Paikakariki and the Manawatu (including the settlements of Otaki and Fitzherbert), the Manawatu, Feilding, Rangitikei, Wanganui, and Patea districts, and the rich and extensive lands within the Provincial District of Taranaki ; and, looking to the facts that a very large extent of the abovementioned country is already cultivated, and that it possesses immense resources which can only be satisfactorily developed when brought into direct railway communication with Wellington, and, moreover, that the proposed railway must form part of the main trunk line from Wellington to Auckland, the promoters feel confident that the traffic returns will, from the first, yield reasonable dividends upon the capital expended, and that the line must ultimately become a very profitable one. The company propose to ask for power to acquire the native hinds between Otaki and the Manawatu through which the line will pass, and shonld this power be granted to them, the promoters have reason to believe that the land when acquired would speedily be disposed of for settlement at a profitable rate. In view of this, the promoters are abont to open negotiations with the native proprietors with respect to its acquisition. As the construction of this railway has long been considered to be of the highest importance to the City of Wellington and the districts which will be brought into connection with it, the promoters trust that no difficulty will be experienced in obtaining the £50,000 proposed to be raised in the colony. Should their expectations be realised in this respeot, the oompany will at once be established, and application made to Parliament for the requisite authority to carry out the undertaking. Applications for shares, in the form annexed, accompanied by a deposit as above, may be addressed to the Secretary pro tern. of the oompany, and forms of application may also be obtained at any of the branches in the colony of the Bank of New Zealand. All depoßita on ahares will be lodged with the Bank of New Zealand at Wellington, to the credit of a special account in the name of the treasurer. APPLICATION FOR SHARES. To the Provisional Directors of the proposed Wellington and Manawatu Railway Company (Limited), — I hereby apply for shares of five pounds each in this proposed Company, and I deposit herewith the sum of two shillings and sixpence per share, and I undertake (subject to th> conditions hereunder written) to accept the number of shares applied for by me, and in all respects to act in relation thereto in accordance with the Memorandum of Association and Regulations of the Company when duly registered. And I agree that this application shall, upon the registration of the Company, be deemed to have been made to the Registered Directors for the time being of the Company. But this application is upon the following conditions :—: — ' Ist. That the shares applied for by me are to represent part of the £50,000 capital proposed to be raised in this colony. 2nd. That this application shall not be binding on me unless on or before the 31st day of May, 1881, not less than .£50,000 be covered by applications for shares ; and 3rd.
