This Association is promoted with the object of securing for its members freehold farms in the Waimate Plains (or some other suitable locality) on the most favorable terms and conditions, with a view of supplying, to some extent, the great and increasiug demand for small holdings for bond fide settlement. As soon as the block is decided upoa, and the preliminaries arranged, it will be surveyed into sections of limited area and apportioned, by lot or otherwise, according to rules to be agreed upon at a general meeting of tha subscribing members of the proposed. Association in selections of a minimum value of One Hundred Pounds (£100) sterling, and a maximum value of Four Hundred Pound} (£400) sterling. The Provisional Directors will endeavor to induce the Govtrament to grant to members of the Association such modifications of the land on deferred-payment clauses of the Laud Act, 1877, as may facilitate occupation by bond fide settlers and subscribers without necessitating strict compliance with the present provisions of those causes. The Provisional Directors will also endeavor to make provisions for ample reserves for religious, educational, recreation, and public health purposes, as suggested by the Mioister of Lands to the doputation which lately waited upon the Government with tho view of bringing this scheme under their notice and favorable consideration. The payments are to be computed on some we>l-defiaed, liberal, and easily-understood system of deferred payments, to be made by instalments extending over a period of, say not less than ten (10; years. Each subscribing member will be required to deposit a sum equal to ten percentum of the total value of the share of land he applies for before his application can be entertained, and a further payment of two percentum per month on said total value until such time as the block to be applied for is acquired by the Association, and possession can be given to applicants, or until such time as the Association shall make arrangements wi'h the Government for allotting land to the subscribers, providf d always that such monthly payments of two percentum do not extend to a further period than six months from date of application. All moneys received are to be paid into the Colonial Bank ot New Zealand to the Association's account, to be opened in the name of the Trustee.", on fixed deposit bearing interest, and no withdrawals or payments to ds mads by cheque against such account without the authority and signature, of the Treasurer, oce of the Trustees, and three Directors, being first obtained. Agents, or Acting- Directors, for tbo Association will also be appointed in all the centres of population throughout the provincial district as soon as practicable. As soon a- 1 , in the opinion of the Provisional Directory, a sufficient number of shares are applied for, a general meeting of subscribing members will be called for the purpose of passing and adopting permanent rules and by-laws or Articles of Association, for the future guidance of the Association, and also for the ejection of a permanent Board of Directors and Management. If the Provisional Directors are unable to make satisfactory arrangements with the Government, or if from any otLer cause they find that they are unable to carry out the scheme suggested by this prospectus, they mny return to each subscriber the amount of his subscription with accrued interest, less his share of the expenses or liabilities then incurred. As it is of the utmost importance and imperatively r6cessary that no time should be lost in organising the business of the Association, the Provisional Directory therefore stipuate that the list of subscribing members should be finally closed not later than the 31st January, 1880. Terms of proposal and application for shares and other information connected with the Association may be procured from the Provisional Directors, the Secretary pro tern , or at the Wellington Working Men's Club, Lambton Quay.
