The object of the Company is to acquire and amalgamate the old-established Businesses carried on by Messrs Conroy and Co. and the Napier Meat Co. as Butchers These include their extensive hotel, family, and shipping connections. The Company will take over all the shipping and other contracts now held by these firms, also such of their leasehold lands, including all necessary business premises, paddocks, and the fully-equipped boilingdown establishment at Clive, as may be considered expedient, as well as their carts, drays, horses, and complete trade requirements, a schedule of which may be inspected at the Brokers' Office. It ia not proposed to take over Book Debts. The profits hitherto earned by the above-mentioned firms, in the opinion of the Provisional Directors, justify them in anticipating that the Company will realise a net profit of not less than 15 per cent, aiad it is hoped that by the amalgamation and consequent saviDg of working expenses, as well as by the extension of business, a much larger profit will result in a few years. The Company will be able, by purchasing for cash, to procure the very best meat in the market, and so secure permanent popularity for its business. It is proposad that after providing for a dividend of 8 per cent on paidup capital, and for reserve fund, depreciation, and contingencies, a portion of the profits earned by the Company should be distributed amongst shareholders contributing business, in proportion to their purchases. This is a plan which has been found to result in similar venturen elsewhere in great advantages to all concerned. Applications for Shares by Napier and Spit residents and the Shipping Companies whiih propose to obtain their meat supplies from this Company will receive first* consideration in ihe allotment of Shares. Mr William Irving and Mr George V\ ooDHAM,of Messrs Conroy and Co. will retain a large interest in the concern, to be taken in fully paid-up Shares, and Mr Irving has agreed to give the Company the advantage of his experience as Workins Manager for a period of not less than two years, should the Directors so desire. The only contracts entered into by or on behalf of the Company— 1. Two Agreements, each dated the sixth day of December, 1900, made between William Irving and George Woodham of the one part, and Frederic Wanklyn Williams, on behalf of the Company, of the other part. Applications for shares to be made to Messrs C. B. Hoadley & Co., or the Bank of New South Wales, Napier. The Share List will be closed any i time at the discretion of the Provisional Directors. The Forms of Application for Shares may be obtained from Messrs C. B. Hoadley & Co., the Company's Brokers. All Application Money will be returned in full in the event of no allotment.
