BUSINESS: 1. To Receive the Annual Report and Balance-sheet. 2. To Declare a Dividend. 3. To Elect Directors. 4. To Elect Auditors and Fix Remuneration. 5. To consider and if thought lit approve the draft alterations to the Memorandum of Association and the draft new Articles of Association and in the event of their approval with or without modification to pass the following special resolutions: — (a) That the provisions of the Memorandum of Association of the Company with respect to the Company’s objects be altered in the manner following : — (1) By deleting from clauses 3 (a) and 3 (e) the word “Colony” and substituting therefor the word ‘•Dominion.” (2) By adding to the said Memorandum of Association after clause 3 (i) the objects and powers contained in a partly written and partly typewritten document marked “A” deposited at the registered office of the Company and for the purpose of identification subscribed by the Managing Director of the Company. (b) That the regulations contained in a partly written and partly typewritten document marked “B” deposited at the registered office of the Company and for the purpose of identification subscribed by the Managing Director of the Company be approved and adopted as the Articles of Association of the Company in substitution for and to the exclusion of all the existing Articles thereof. The said documents marked “A” and “B” subscribed for identification as aforesaid are now available for inspection at the registered office of the Company and may be inspected at any time during office hours. 5. To consider and if thought fit to pass the following resolution : — That commencing with the period ending March 31, 1938, the financial year of the Company end on the 31st day of March "and that in the year 1938 and in subsequent years the Annual General Meeting of the Company be held in the month of May.
