■ MEETINCS. WELLINGTON GAS COMPANY, LTD. NOTICE TO SHAREHOLDERS. TVTOTICE is hereby given that an Extraordinary General Meeting of the Wellington Gas Company. Limited, will bo hold at the Chamber of Commerce, Custom House Quay, Wellington, on WEDNESDAY, the Nineteenth day of August, 1908, at Eleven o'clock in the Forenoon, for tho following purpose:— 1. To consider and, if the Meeting thinks .fit, to approve of tho draft new regulations or Articles of Association, which will bo submitted to the Meeting, and in tho event of tho approval thereof with or without modification:— ; 2. To consider and if tho Meeting thinks fit to pass a resolution to tho effect that "the now regulations or Articles of Association - already approved by this Meeting (and for tho purpose of identification subscribed by tho Chairman) bo and tho same are hereby approved, and that such regulations be and they are hereby adopted as the regulations or Articles of Association of the Company to tho exclusion of all the existing regulations or Articles of' Association thereof." To considor, and, if deemed advisable, pass the following resolutions:— 1. That the Capital of the Company bo increased to the amount of .£400,000 by the creation of additional capital to the amount of .£200,000, divided into twenty thousand shares gf' .£lO each, such shares to be issued as ordinary shares. i 2. That. six thousand shares of the said capital be offered in the first instance to the meinbers oi the Company at a promium, and that notice shall he given to each member specifying the number of shares to which each member is entitled, and limiting the time within which tho offer if not accepted by'signing, an' application (and paying the deposit and proportion of premium payable on application), will be deemed to be declined. That each member shall be entitled for every three shares held by him to purchase one share at a premium of <£5 per share, and for every two shares held oy any member in • excess of any multiple of _ three to purchase one sharo. at a premium of ,£G per share, and for any singlo share held by any member in excess of .any multiple of three to purchase one share at a premium of ,£7 per share. .That members shall be permitted to tender for any shares not applied for and for any other surplus shares at a premium of not less than .£7 per sharo, and that such shares shall be allotted to the / highest tenderer. That in tho event of there being any of the six thousand sharps ,iot applied for by tho " members, the Directors are empowered to dispose of tho samo in such manner as they may consider expedient in the interest of the Company.' • _ ■ 3. That a deposit of ss. per sharo with 2s. 6d. of the premium payable on each share be paid on application and a further sum of ss. per share with 2s. Gd. of. the premium payable upon each sharo shall be paid on allotment in tho caso of shares ' • offered at a premium of .£5; but in the caso of shares offered and taken up at a higher rato of premium than .£5, tha amount of the premium per sharo to be paid on allotment shall bo such a sum as shall leave the balance of premium then remaining unpaid at ,£4 15s. per share. That the balance of the money payable in respect of the shares and of the unpaid premiums'shall bo paid at such time and in such manner as the Directors may determino, provided that tho amount of premium payable in rospect of each sharo upon any call being made shall be equal to half of the amount of the call upon such share, and that no call shall exceed 10s. per share or be mado payable within two months aftor the last preceding call was payable. , 4. If any sum payable,in respect of any call or instalment of premium be uot paid on or before tho day appointed for tho pay- ; ment thereof, the holder for the. time being of the.share in rospect of.which the call is mado or tho instalment is due shall pay interest for the same at the rato of i£B per centum per annum or such less rato as tho Directors may determine from tho day appointed for tho payment '"••■thereof to the time of the actual payment. 5.-That all shares to be tissued shall rank • for • dividend, and in. other respects, ac- .... cording to the amount actually paid up thereon until such, shares..aid all premiums thereon are fully paid, and-there-after will' in" all'-respecte"'l}e subject to the same provisions, as the-ordinary shares in the existing capital of the' Company, 6. That interest on the cost of tho new works during the course of construction . may, if the Directors deem., fit, be charged to Capital Account. Should the resolutions be passed by tho requisite majority they will be.submitted for confirmation as Special Resolutions at a subsequent Extraordinary General Meeting of the Shareholders, and of such meeting duo notice .will be "given.
