Telegin PUBLIC NOTICE NOTICE TO TELEPHONE SERVICE CUSTOMERS AND CUSTOMERS OF OTHER TELECOM SWITCHED NETWORK SERVICES Changes to the terms and conditions for switched network service In accordance with Clause 3 of the State Owned Enterprises (Telecom Corporation of New Zealand Limited) Goods and Services Order 1987 (the "Order") the Telecom Corporation of New Zealand Limited ("Telecom") hereby gives notice as follows: 1. From and including 1 January 1988 the Standard Terms and Conditions for Telecom Switched Network Service for both existing and new contracts shall be as set out below. The conditions of service for all customers of Telecom Switched Network Service under contracts to which Clause 2 of the Order applies are hereby varied from that date accordingly. ' 'Telecom Switched Network Service" has the same meaning as that ascribed to "Network Service” in Clause 1.4 of the Standard Terms and Conditions below. 2. The charges for Telecom Switched Network Services shall be as specified in the Standard Telecom Network Services List of Charges held at the registered office of Telecom. 6 b M.E. Wylie Company Secretary STANDARD TERMS AND CONDITIONS FOR TELECOM SWITCHED NETWORK SERVICE 1. INTERPRETATION 1.1 ' ’Connection" means a link of any kind permitting telecommunications between two or more points. 1.2 "Customer Premises" includes such premises in which the Customer's Network Service is provided whether the premises of the Customer or not. 1.3 "Demarcation point" means that point that the applicable Telecom PTC Specification designates to be the Demarcation Point, or, where there is no such point, means the point designated by Telecom as that at which Network Service is delivered to the Customer. 1.4 "Network Service" means the provision of a connection through a Public Switched Network and also includes the following Telecom services: Telephone. Telex and Datex, Packet Switch. Videotex. Starnet, Mobile Telephone, Electronic Funds Transfer Point of Sale Transaction Service, Listing in any Directory and the leasing of any terminal equipment for connection to the Telecom Network, other than equipment which is the subject of any other Telecom leasing contract; and any other services described as Network Services by Telecom for the purposes of this Contract from time to time. 1.5 "Public Switched Network" means those Telecom telecommunications links available to any Customer from time to time, and not dedicated to the use of any Customer or Customers. 1.6 "PTC" means Permit to Connect. 1.7 "PTC Specifications" means those specifications issued by Telecom from time to time as a means of determining codes of practice and technical requirements in respect of anything that is to be or is connected to any Telecom network, the authoritative versions of which are held at the registered office of Telecom. . . , t 1.8 "Requested Network Service" means such Network Service as Telecom’s records indicate the Customer has requested from time to time, whether orally or in writing. 1.9 "The Standard Telecom Network Services List of Charges' means the-List of Charges as determined by Telecom from time to time in respect of Network Services, the authoritative version of which is held at the registered office of Telecom. 1.10 ' 'Telecom' ’ means Telecom Corporation of New Zealand Limited. 1 11 "Telecom Network" includes any means by which Network Service is provided to a Customer by Telecom, but does not include any wiring or equipment on the Customer's side of the Demarcation Point, notwithstanding that such wiring or equipment may be the property of Telecom. 1.12 The singular includes the plural and vice versa. 1 13 The headings of the clauses of this Contract are included for convenience only and do not constitute a part hereof. 2. PROVISION OF NETWORK SERVICE c J .' . 2.1 Upon acceptance by Telecom of the Customer's offer made on the appropriate Telecom Contract form and subject to the terms and conditions of this Contract Telecom will provide Requested Network Service. 2.2 While Telecom will endeavour to provide the full Network Service to which this Contract relates, it cannot guarantee continuous Network Service or fault free Network Service. Telecom also reserves the right to suspend or restrict Network Service where it is considered necessary or appropriate to do so. 3 CHARGES 3.1 The Customer shall pay to Telecom the charges from time to time imposed by Telecom in respect of all Network Services which Telecom's records attribute to the Customer, at rates not exceeding those for the appropriate time prescribed in the Standard Telecom Network Services List of Charges (including charges for any Network Service provided between the time notice of termination of the Contract or relinquishment of Network Service is given and the actual discontinuance of Network Service), unless the Customer proves: , (a) that Network Service was not provided to the Customer or accessed through a Connection provided to the Customer; and (b) that neither the Customer, nor any person using a Connection provided to the Customer requested those Network Services, or agreed to pay for them, whether by words or conduct. .... , . • j 3.2 Charges are due on demand, or in respect of any charges due in respect of any period, on the first day of that period or on demand, whichever is the sooner. , „ . , . < 3 3 Without prejudice to the rights of Telecom under clause 12 to terminate the Customer s Network Service for non-payment of charges, where any amount due by the Customer to Telecom in respect of Network Service remains unpaid for one month or more following the date on which it is due, the Customer shall be liable to pay to Telecom interest on that amount at the rate, if any, specified in the Standard Telecom Network Services List of Charges. 3.4 This clause shall survive termination of this Contract. 4 OWNERSHIP 44 This Contract is for the provision of Network Service only, and passes no title to anything used in the provision of Network 4 2 The Customer has no proprietary interest in any telephone number, answer-back code, network user ID. or any other number associated with any Network Service, and Telecom may in its discretion change any number assigned to a Customer. 5 DIRECTORY LISTING Unless the Customer otherwise advises Telecom in writing and pays the appropriate charge (if any) listed in the Standard Telecom Network Services List of Charges. Telecom may list the Customer's name, address and Network Service number m any directory that Telecom may publish from time to time, and publish, disclose, use. sell or otherwise make available to any person those details in such manner as Telecom may determine. 6. TELECOM LIABILITY . 6 1 Except as provided in clause 6.2. under no circumstances will Telecom, or its employees or agents, be liable in contract, tort, or otherwise to compensate the Customer for any loss, injury or damage arising directly or indirectly from: (a) any act, omission, error, default or delay of Telecom or its employees or agents; or , i (b) any act. omission, error, default or delay in respect of the provision, installation, servicing, use or termination of Network Service; or (c) the failure by Telecom to provide Network Service; or (d) any failure of Network Service: or (e) any failure of anything provided as part of, or in association with Network Services; or (f) the interception of any communication using Network Service — whether in the case of Network Service it is the Network Service of the Customer, or of any other person, and whether the loss, iniurv or damage is the direct or indirect result of negligence or otherwise. 6 2 Notwithstanding clause 6.1 but subject to all other provisions in this clause 6, Telecom does not by this Contract exclude liability for physical damage to the property of the Customer occurring in the course of the installation, provision, operation, servicing ortermination of Network Service that is a direct consequence of the negligence of Telecom or its employees or agents. clause 6.1 where there is a total failure of the Customer's Network Service for any reason for more than 7 days after notification of the failure to Telecom, and the failure or continuation of the failure is not in any way directly or indirectly caused by the Customer or any person for whom the Customer is responsible, Telecom will, on request by the Customer made within 60 days after remedy of the failure or termination of the Customer s Network Service, (whichever is the sooner) refund to the Customer the rental in respect of Network Service for the period of the failure. 6 4 Nomthstanding clause 6.1 where there is a total failure of the Customer's Network Service for 7 consecutive days or less due to the negligence of Telecom and the failure or continuation of the failure is not in any way directly or indirectly caused by the Customer or any person for whom the Customer is responsible Telecom will, on request by the Customer made within sixty (60) days after remedy of the failure or termination of the Customer's Network Service (whichever is the sooner) refund to the Customer 5 rental in Respect of the Customer's Network Service for the period of the failure; provided that Telecom may decline to refund anv rental under this clause where the amount involved is less than twenty dollars ($2O). 6 5 Telecom may apply any refund payable under clause 6.3 or clause 6.4 as a credit towards other rental payable by the Customer. 6 6 In any event under no circumstances will Telecom, its employees, or agents be liable to the Customer in contract, tort (including negligence) or otherwise for loss (whether direct or indirect) of profits, business or anticipated savings or for any indirect 6 r 7 C lf n for q anyrion Ttekiomfe liable to the Customer in contract, tort, or otherwise, the maximum liability of Telecom to the Customer shaUbe fifty thousand Dollars ($50,000) in respect of any one event or related senes of events, with a maximum Lability to aXne any 12 month period of one hundred thousand Dollars ($100,000). irrespective of the number of events. 6 8 limitation or exclusion in this clause and each protection given to Telecom by any provision of this clause is to be construed asaseparate limitation or exclusion applying and surviving even if for any reason any of the provisions is held thfeckuw Stout the right of the Customer to enforce this Contract by seeking an order for specific performance in any Court of competent jurisdiction. 6.10 This clause shall survive termination of this Contract.
