D. Nathan and Co. Ltd of McKenzies; N.Z.) Ltd In his report, the Examiner concludes with the following sum-' mary: “It is my view that the proposed takeover will have many effects contrary to the public interest. Examples of these effects have been illustrated in this report. All of them, however, stem from the basic fact that the proposal involves the elimination of competition between two companies which fulfil an important and unique role in retailing in New Zealand. The proposal contravenes one of the main purposes of the Commerce Act which is to promote the interests of consumers and the effective and efficient development of industry and commerce through the encouragement of competition. It is accordingly a proposal which, m my opinion is so obviously contrary’ to the public interest that the Commission must withhold its consent. Moreover, in my view the proposal is such that it is not possible to permit it to proceed subject to terms or conditions which would remedy effects which are likely to be contrary to the public interest. The essence of the proposal is to eliminate competition. Such an absolute effect can not be modified by conditions. “I recommend that the Commission make an order in terms of Section 78'4) fa) prohibiting the proposed takeover of McKenzies iN.Z.) Ltd by L.
