Boral, Ltd, has called an extraordinary general meeting for April 3, when shareholders will be asked to ratify the sale of the company’s main undertaking (the refinery at Matraville and related facilities) to the new joint company. Total Boral. Ltd. Out of the total consideration of s2sm payable to Boral. s9m will be applied in taking up at par 9m $1 shares in Total Boral.
The balance of sl6m will remain in the form of unsecured loans to the new company. The assets to be transferred are subject to floating charges contained in the debenture trust deed, and debentureholders are also being asked, at a meeting on April 3, to approve the sale.
