New Articles For Meeting New articles of association, to comply with stock exchange requirements in New Zealand and also in Australia, have been prepared by Holeproof Industries, Ltd, Auckland. The new articles, which shareholders will be-asked to approve at the ajipual meeting on November 8, emphasise the rights .'of preference shareholders?' ‘ The directors also seek shareholders* approval to an increase in nominal ordinary capital, said the chairman (Mr H. Korman).
. No Issue Planned The authorised and issued ordinary capital of !l)m is all held by Factors, Ltd, Melbourne, with the public holding 250,000 cumulative 6 percent preference shares of $2. The ordinary capital will be increased by the creation of Im $1 shares after the approval of shareholders of subdivision of existing $2 shares into $1 units. Mr Korman emphasised that nb ordinary share issue was envisaged and the company was taking the opportunity to increase authorised capital at the same time as seeking approval of the new articles.
