NOTICE is hereby given that the adjourned fifty-seventh - Annual General Meeting of the Shareholders of this Company (adjourned from eleventh December, 1941)-will be held at 65-68 Leadenhall street, London, E.C.3, on Thurs 1 day, sth February, 1942, at twelve noon, when the directors will present their Report and Accounts for the year ended 30th June, 1941, and any other general business will be transacted. And notice Is also hereby given that an extraordinary General Meeting of the Shareholders of the Company will be held at 65-68 Leadenhall street, London, E.C.3, on Thursday, sth February, 1942, at 12,15 p.m., or so soon thereafter as the above-mentioned adjourned Annual General Meeting shall have been concluded, for the purpose of considering, and if thought fit, passing the following Resolution, which will be proposed as special Resolution, namely— RESOLUTION—That the Articles of Association of the Company be altered as follows: — (a) By striking, out Article 80 (as altered by special Resolution passed on 22nd November, 1934) and by substituting therefor the following article, namely 80: "As from Ist July, 1941, there shall be paid out of the funds of the Company to the Chairman of the Board remuneration for his services at the rate of £2OOO per , annum and to each Director other than the Chairman remuneration for his services at the rate of £750 per annum. Such remuneration may be increased by such an amount as the Company in General Meeting may from time to time determine.” (b) By striking out from Article 113 the words "But before providing for the Directors’ percentage remuneration (if any)”. (c) As regards Article 114 by deleting the words “In the following order and manner,” and ending with the words “In the payment of such further dividend (if any)” and by substituting for such deleted part the words —“In the payment for such dividend.” The transfer Books will be closed from 22nd January to sth February, both days inclusive.
