Greenwood, chairman of directors, presided, and there wae an attendance of 25. A. Henley (Lincola) euid that ft appeared to him that the directors were camouflaging the whole position. Hβ doubted if 10 per cent, of th-j shareholders knew that the. meeting was being held that day. Mr J. H. Blackwell (Kniapoi) took exception to the foregoing remark, and eacphuned that the directors, acting on the advico of Mr "Wilding, the company's solicitor, had toiken the proper steps for bringing about the amendments to the articles of association. A ehareholdec complained that eoverol shareholders had not received proiy forme, and Mi- Henley declared the directors were responsible for fhis. Mr. F. E. Jones said that iho zneetjng that day was a small one, and not representative of all the ehareholdetH. He therefore moved: "That a poll of the shareholders be taken." The chairman said that not a single prosy form had been sent out to directors or ehareholdeTs unless applied for. Any shareholder desiring a proxy form could obtain one from the office on application. The imputation that the directors' bad "jockeyed" the proxies wae- untrue. The Board would be only too pleased to welcome to the directorate representatives of outside districts, but, eo far, there had been no guarantee given that candidates would come forward to ■represent euoh districts on tho directorate. Mr J. C> C. Crebbie (Mohtkarar*) eeoonded the motion that a poll be taken. The chairman intimated that the eaHdtor, Mr F. S. Wilditi.fr, K.O. (who was sitting bosid© him) advised that a poll could not be taken unless it was demanded by five shareholders. Mr Wilding explained that the articles of association provided that if a poll was demanded the chairman of the meeting should decade tho time and place of the polL The voting pap9rs tould not be posted, out to shareholders, but proxy papers could.
