PROPOSED CHANGE OF NAME,
DIRECTORS' TERMS OF OFFICE
A _apecUl general meeting of shareholders of tha Gear Meat Preserving and Freezing Company ?I Zealand, Ltd., will, be held on October 10.. to consider a proposal to make Important change*. One change contemplated la the alteration of the name of the company tram its present rather elongated title to that ot the Gear Meat CWfUU. Ltd. The other proposal aSects the articles of association, and proposes to change the order of the directors'. term of office and the voting power. ■? ?m ' ?• The notice calling the meeting states that it la considered by the present directors that the name of the company u too cumbersome. Until the passing of the Companies Act of 1833 It was not possible to change the company's name without the sanction of the Supreme Court. The change can now be made by special resolution. Under the existing artlelMOf association, at a poll each member has one vote for each share up to Ave .and one for every additional Ave shares, but no member haa more than 30 votes. Under the proposed new articles the directors suggest one vote for every 10 shares or fraction, no member to have more than 250 votes.
A further proposal affects the order of the rotation of the directors. At present three directors retire one year, two th 2 next year and only one the third year. The new articles propose that two directors retire each year.
