(b) Article S9 shall be altered so as to read as follows; —"At every Ordinary General Meeting two Directors shall retire from o:«ce. The Directors to retire in each year shall be the two Directors who have been longest in office without re-election; and if it be necessary to decide hot wren three or more of equal standing in that respect, the same shall be determined by ballot, to be taken at a meeting of Directors, not less than one month prior to the Ordinary Yearly General Meeting. A retiring Director shall be eligible for re-election." In the event of the above resolution being so confirmed, the meeting will then proceed to elect two Directors to fill the vacancies so created.
