The terms agreed to are thab a company be formed in London with a capital of £150,000 in shares ab £1 each, the new company to take over and work the said holdings, providing £25,000 cash for thab purpose. Each of the three companies, is to receive 17,500 shares fully paid to £1 each, provided that such new company is formed. The combined mines will give an ares of 90 acres at Karangaheke adjacent to the Talisman and Talisman Extended companies. Of course the above arrangement ia subject to confirmation by the shareholders in each of the companies interested. PRIDE OF TOKATEA. ! A meeting of shareholders in this syndicate was held yesterday, when Mr Malcolm Niocol presided. The secretary, Mr Hampson, read a proposal from the holders of the Caledonia holding which adjoins tho Pride ot Tokatea offering to sell tho claim to the latter company for ten syndicate shares. Mr Hampson said as the company had ten shares reserved, he would move that they be allotted to the owners of the Caledonian holding in payment for thab claim. This was agreed to.

Ib waa then resolved to form a no liability company with a capital of £6,000 in 80,000 shares ab Iβ 6d each nil paid up. The following gentlemen were elected directors:—Messrs M. Nicool, J. McKerras, J. H. Porter, J. M. McLeod, H. Scott. Mr W. S. Hampson was appointed manager, Mr R. J. Carbines auditor, and Mr C. Tylden solicitor. CARNAGE. ■ At a meobing of shareholders in this syndicate held yesterday, ib was resolved to form a no liability company with a capital of £9,000 iv 60,000 shares at 3s each. The following directors were appointed : Messrs H. Hornbrook, N. A. Nathan, G. Kronfeldt, A. Davis, and A. Wrighb. Mr J. Smales was elected legal manager, the Bank of Now Zealand the Co.'s bankers, and Mr E. A. Brown, auditor.
