The object for which this Company has been formed is the development of the valuable mining leasehold known as the Pubipuhi Special Claim, of 60acres. , _ _•_ The Puhipuhi Claim is situated about twentyfour miles north from Whangarei, within seven miles of a surveyed line of Railway and seven miles from tho Great North Road. Tho property is yet only partially opened up, but is known to contain fourteen silver and gold-bearing reef 3, several of which have been teßted with the very satisfactory results shown in the annexed reports of well-known assayers and other mining authorities. One of tho reefs, the No. 3, has been proved to a depth of 90 feet, with an average width of six foet, and to run through the entire length of the claim. . Good assays have also been obtained from several other reefs, which have not however been yet further worked upon. Great care has been taken and much time expended to ascertain the most suitable process for treating the ore. After many exhaustive tests it ha 3 been conclusively shown that Uie ore is a free milling one, and can ba successfully treated by tbe process now adopted by the Waihi Silver and Gold Mining Company, viz., by dry crushing and pan amalgamation. Through the claim there runs at all seasons a fine never-failing stream of water which has a natural fall close to a capital and centrallysituated machine site, so that more than ample motive power is readily obtainable at a mimmu ru cost. Both the machine site and ten slui«e heads of water have been applied for and secured. The situation of the machine site is such that all the ore can be easily and cheaply conveyed to it from reefs having six hundred feet of backs. The Company's ground is covered by a forest which contains kauri and other suitable building and mining timber and firewood, so that timber for all purposes is obtainable whenever wanted on the claim at the lowest possible rate. It is proposed to immediately erect a reduction plant capable of treating from eighty tc'ninety, tons of ore weekly, the cost of which after making ample allowance for contingencies is estimated not to exceed £2,500. The entire cost of winning the .ore and its reduction is calculated by experts not to exceed 30s ncr ton, and with the great natural advantages of the ground it is thought quite possible that the cost will not exceed 20s per ton. The Company believe that they possess a combination of mining advantages and facilities for worxing that cannot be surpassed if equalled, viz. in the accessibility of the claim, the number of reefs of more or less richness, the comparative ease with which ore can be won and placed at the reduction works, the splendid water power situated just where wanted, the abundance and superior quality of timber for all purposes, the cheapness with which supplies of every kind can be delivered on the ground, and all these in a climate of unexcelled salubrity, assures them that thevhave in hand an enterprise that promises to be a great success. _ The present shareholders havo had allotted to them for their interests in the property and for expenses' alreadyincurred 40,020 sfiaresp ai d_ up to 5s per share. The, balance of .13,340 (or such number as shall be deemed advisable) are nowoffered to the present the public to bo paid up to 53 per share, in the following manner, viz., ls per share on application, Is per share on allotment, and by calls thereafter of not more than ls each, and at intervals of not less than one month. The money so raised will be devoted towards the formation of the Company, erection of suitable machinery, and further development of the mine. Should any further calls be found necessary, which, however, is not anticipated—as when the machinery is erected it is confidently expected that the concern will bo dividend paying-they will be levied on the whole number, 53,360 shares in the Company equally, and will not exceed twopence per share, and made at intervals of not less than one month. Applications for Shares, which must be made in the form annexed herewith, will be received up till WEDNESDAY, August 13, and must be accompanied by a deposit of Is per share, by the Secretary, Mr F.
